LICENSED PROGRAM: TI-Nspire™ CX II Handheld Operating Systems
IMPORTANT – By using the Licensed Program You agree to abide by the Texas Instruments Online Terms of Use and the provisions of this License Agreement (the “Agreement”). Please read these documents carefully. If You do not agree to these terms, do not use the Licensed Program.
You confirm either: (1) that You have reached the age of 18; or (2) You are 13 or older but younger than 18 (“Minor”), that You have reviewed these terms with Your parent or guardian, and that You and Your parent or guardian understand and consent to these terms. If you are a parent or guardian of a Minor who is using the License Program, you accept and agree to (i) supervise the Minor’s use of the Licensed Program; (ii) assume all risks and liability associated with the Minor’s use of the Licensed Program: (iii) ensure the accuracy and truthfulness of all information submitted by you or the Minor; and (iv) assume responsibility and are bound by these terms for the Minor’s access and use of the License Program.

“You” or “Your” means You personally if You will exercise the rights granted herein for Your own benefit, but it means Your Institution, if You are entering into this Agreement to exercise the rights granted herein for the benefit of such Institution. |
Licensed Programs are licensed, not sold, by Texas Instruments Incorporated (“TI”) and/or any applicable licensors (collectively called “Licensor”) under the license granted below. If by accepting this Agreement, You gain access to Other Licensed Material, that material will be listed in the applicable software manifest provided with the Licensed Program. Your use of the Other Licensed Material is subject to the applicable other licensing terms, acknowledgements, and disclaimers as specified in the applicable software manifest and/or identified or included with the Other Licensed Material in the software bundle. For clarification, this Agreement does not limit Your rights under, or grant You rights that supersede, the terms of any applicable license agreement for the Other Licensed Material.
SINGLE USER LICENSE
For the Single User License, Licensor grants to You a personal, non-exclusive, non-transferable license to use (and to download and install, if applicable) the Licensed Program on supported Hardware Devices. Virtual use (i.e., simultaneous use of the Licensed Program by two or more users) is strictly prohibited. You may make one copy of the Licensed Program for backup and archival purposes. You agree to reproduce all copyright and proprietary notices shown in the software and on the media. Unless otherwise expressly stated in the documentation, You may not duplicate such documentation.
Additional Terms Applicable to All Licenses:
1. Restrictions.
You may not reverse-assemble or reverse-compile, or attempt to derive the source code of the Licensed Program. You may not modify, publish, disclose, display, provide, transfer, sell, rent, lease or otherwise make available the Licensed Program or any portion thereof. You may not transfer, redistribute or sublicense the Licensed Programs except as expressly permitted in this Agreement, and if you sell your Hardware Device to a third party, You must remove the Licensed Program from the Hardware Device before doing so. Licensor reserves all rights in and to the Licensed Program not expressly granted to You under this Agreement.
2. Support and Changes.
Support for the Licensed Program is provided by contacting TI at https://education.ti.com/ti-cares. TI reserves the right to discontinue or to make corrections, enhancements, improvements, and other changes to the Licensed Program at any time in its sole discretion.
3. Copyright.
The Licensed Program is subject to copyright and other applicable intellectual property protections. You must not remove, alter, cover, or obscure any confidentiality, trade secret, trade mark, patent, copyright or other proprietary notice or other identifying marks or designs from any component of the Licensed Program.
4. Warranty.
TI does not warrant that the Licensed Programs will be free from errors or will meet Your specific requirements. THE LICENSED PROGRAMS ARE PROVIDED “AS IS” AND WITH ALL FAULTS. TI AND ITS LICENSORS MAKE NO WARRANTY OR REPRESENTATION, EITHER EXPRESS, IMPLIED OR STATUTORY, REGARDING THE LICENSED PROGRAMS, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, SECURITY OR NON-INFRINGEMENT OF ANY THIRD-PARTY PATENTS, COPYRIGHTS, TRADE SECRETS OR OTHER INTELLECTUAL PROPERTY RIGHTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY TI WILL CREATE ANY WARRANTY.
5. Limitations.
IN NO EVENT SHALL TI OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOSS OF USE OR DATA, OR INTERRUPTION OF BUSINESS, WHETHER THE ALLEGED DAMAGES ARE LABELED IN TORT, CONTRACT OR INDEMNITY.
IN NO EVENT WILL TI’S OR ITS LICENSORS’ AGGREGATE LIABILITY UNDER THIS AGREEMENT OR ARISING OUT OF YOUR USE OF THE LICENSED PROGRAMS, OR ANY DATA BREACH INVOLVING STUDENT DATA COLLECTED BY TI, EXCEED THE GREATER OF (i) THE AMOUNTS PAID BY YOU FOR THE LICENSED PROGRAMS OR (ii) FIFTY U.S. DOLLARS (US$50).
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages or limitation on how long an implied warranty lasts, so the above limitation may not apply to You.
6. Your Content and Indemnity.
You represent and warrant any content You use with the Licensed Program or, if applicable, route into Google services such as Google Classroom and Google Drive will not infringe the intellectual property rights of others. You further represent and warrant such content will comply with applicable third-party terms including, without limitation, Google requirements related to content You route into Google services. You agree to indemnify and hold TI (including its agents and representatives) harmless against any damages, costs, losses, and/or liabilities arising out of Your non-compliance with the terms and provisions of this Agreement. This section will survive any termination or expiration of this Agreement.
7. Termination.
Without prejudice to any other rights, if You violate the terms of this Agreement, TI may terminate Your right to use the Licensed Program. Except for licenses granted above, all provisions of this Agreement shall survive expiration or termination of this Agreement.
8. Export Control.
The Licensed Program may be subject to U.S. export controls and sanctions. You agree to comply with all applicable laws and regulations. Licensed Program may not be exported, re-exported, transferred, or resold to U.S. embargoed, sanctioned, or restricted destinations, persons or entities (collectively, “Denied Persons”). Denied Persons include, but are not limited to, those individuals or entities listed on the Commerce Department’s Denied Persons List, the Commerce Department’s Entity List, the Directorate of Defense Trade Controls’ List of Statutorily Debarred Parties, and the Treasury Department’s List of Specially Designated Nationals. By using the Licensed Program, You represent and warrant that You are not located in any such country or on any such list, and that You will not provide the License Program to any Denied Persons. You may not use or otherwise export or re-export the Licensed Program except as authorized by United States law and the laws of the jurisdiction in which the Licensed Program were obtained. You also agree that You will not use the Licensed Program for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture, or production of nuclear, chemical, or biological weapons or missile technology. For additional information, see Part 744 of the U.S. Export Administration Regulations.
9. Governing Law.
This Agreement will be governed by and interpreted under the laws of the State of Texas (USA), without reference to conflict of laws principles. If a court of competent jurisdiction finds any provision of the Agreement unenforceable, that provision will be enforced to the maximum extent possible to effectuate the intent of the parties, and the remainder of the Agreement shall continue in full force and effect. This Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, or by the Uniform Computer Information Transactions Act (UCITA). The parties agree that non-exclusive jurisdiction for any dispute arising out of or relating to this Agreement lies within the courts located in the State of Texas. Notwithstanding the foregoing, any judgment may be enforced in any United States or foreign court, and either party may seek injunctive relief in any United States or foreign court. Failure by TI to enforce any provision of this Agreement shall not be deemed a waiver of future enforcement of that or any other provision or any other agreement that may be in place between the parties.
10. Governing Language.
Where TI has provided You with a translation of the English language version of this Agreement, You agree that the translation is provided for Your convenience only and that the English language version will govern and control. If there is any contradiction between the English language version of this Agreement and a translation, the English language version will be authoritative and controlling.
11. Entire Agreement.
This is the entire agreement between You and TI, and this Agreement supersedes any prior agreement between the parties related to the subject matter of this Agreement. No amendment or modification of this Agreement will be effective unless in writing and signed by a duly authorized representative of TI. You warrant and represent that You have obtained all authorizations and other applicable consents required empowering You to enter into this Agreement.

LICENS TIL ENKELTBRUGER
For den enkelte brugers licens giver Licensgiver dig en personlig, ikke-eksklusiv, ikke-overdragelig licens til at bruge (og til at downloade og installere, hvis det er relevant) det licenserede program på understøttede hardwareenheder. Virtuel brug (dvs. samtidig brug af det licenserede program af to eller flere brugere) er strengt forbudt. Du kan lave én kopi af det licenserede program til sikkerhedskopierings- og arkiveringsformål. Du accepterer at gengive alle meddelelser om ophavsret og ejendomsret, der vises i softwaren og på mediet. Medmindre andet udtrykkeligt er angivet i dokumentationen, må du ikke duplikere denne dokumentation.
Yderligere vilkår gældende for alle licenser:
1. Begrænsninger.
Du må ikke foretage omvendt samling eller reverse-kompilering eller forsøge at udlede kildekoden til det licenserede program. TI'S ELLER DETS LICENSGIVERES SAMLEDE ANSVAR I HENHOLD TIL DENNE AFTALE ELLER SOM FØLGE AF DIN BRUG AF DE LICENSEREDE PROGRAMMER, VIL UNDER INGEN OMSTÆNDIGHEDER KUNNE ELLER ENHVER FORM FOR DATABRUD, DER INVOLVERER STUDENTERDATA INDSAMLET AF TI , OVERSTIGER DET STØRSTE AF (I) DE BELØB, DU HAR BETALT FOR DE LICENSEREDE PROGRAMMER, ELLER (II) HALVTREDS AMERIKANSKE DOLLARS (US$ 50).
Visse jurisdiktioner tillader ikke udelukkelse eller begrænsning af hændelige skader eller følgeskader eller begrænsning af, hvor længe en underforstået garanti varer, så ovenstående begrænsning gælder muligvis ikke for dig.
6. Dit indhold og Din skadesløsholdelse.

Du erklærer og garanterer desuden, at sådant indhold vil overholde gældende vilkår fra tredjepart, herunder, men ikke begrænset til, Google-krav i forbindelse med indhold, du dirigerer til Google-tjenester. Du accepterer at holde ti (herunder dennes agenter og repræsentanter) skadesløs for eventuelle skader, omkostninger, tab og/eller forpligtelser, der måtte opstå som følge af Din manglende overholdelse af vilkårene og bestemmelserne i denne aftale. Dette afsnit vil overleve enhver opsigelse eller udløb af denne aftale.
7. Opsigelse.
Uden at det berører andre rettigheder, kan TI opsige Din ret til at bruge det licenserede program, hvis Du overtræder vilkårene i denne aftale. Bortset fra licenser, der er givet ovenfor, vil alle bestemmelser i denne aftale være gældende efter aftalens udløb eller ophør.
8. Eksportkontrol.
Det licenserede program kan være underlagt amerikansk eksportkontrol og sanktioner. Du accepterer at overholde alle gældende love og bestemmelser. Licenseret program må ikke eksporteres, geneksporteres, overføres eller videresælges til USA' s embargo, sanktionerede eller begrænsede destinationer, personer eller enheder (samlet kaldet "afviste personer"). Afviste personer omfatter, men er ikke begrænset til, de personer eller enheder, der er opført på handelsafdelingens liste over afviste personer, handelsafdelingens enhedsliste, Direktoratet for Forsvars- og Forsvarskontrol-listen over statutorerede debarterede parter og finansministeriets liste over særligt udpegede statsborgere. Ved at bruge det licenserede program erklærer og garanterer Du , at Du ikke befinder Dig i et sådant land eller på en sådan liste, og at Du ikke vil levere licensprogrammet til nogen afviste personer. Du må ikke bruge eller på anden måde eksportere eller reeksportere det licenserede program , medmindre det er godkendt i henhold til amerikansk lovgivning og lovgivningen i den jurisdiktion , hvor det licenserede program blev opnået. Du accepterer også, at Du ikke vil bruge det licenserede program til nogen formål, der er forbudt i henhold til amerikansk lovgivning, herunder, men ikke begrænset til, udvikling, design, fremstilling eller produktion af nukleare, kemiske eller biologiske våben eller missilteknologi. 9. Gældende lov.
Denne aftale er underlagt og fortolkes i henhold til lovgivningen i staten Texas (USA) uden henvisning til principper for lovkonflikt. Hvis en kompetent domstol finder, at en bestemmelse i aftalen ikke kan håndhæves, vil denne bestemmelse blive håndhævet i det omfang, det er muligt for at effektuere parternes hensigt, og resten af aftalen vil fortsat være fuldt gældende. Denne aftale er ikke underlagt de Forenede Nationers konvention om aftaler om internationale køb eller UCITA (Uniform computer Information Transactions Act). Parterne er enige om, at ikke-eksklusiv jurisdiktion for enhver tvist, der opstår som følge af eller i forbindelse med denne aftale, ligger ved domstolene i staten Texas. Uanset ovenstående kan enhver retsafgørelse fuldbyrdes i USA eller udenlandske domstole, og hver af parterne kan anmode om forbud i alle amerikanske eller udenlandske domstole. Manglende håndhævelse fra ti af nogen bestemmelse i denne aftale anses ikke for at være et afkald på fremtidig håndhævelse af denne eller nogen anden bestemmelse eller nogen anden aftale, der måtte være på plads mellem parterne.
10.gældende sprog.
Hvis TI har givet Dig en oversættelse af den engelske version af denne aftale, accepterer du, at oversættelsen kun er til Din fordel, og at den engelske version vil være gældende og styre. Hvis der er uoverensstemmelse mellem den engelske version af denne aftale og en oversættelse, vil den engelske version være autoritativ og kontrollere.
11. Hele aftalen.
Dette er hele aftalen mellem Dig og ti, og denne aftale erstatter enhver tidligere aftale mellem parterne i forbindelse med aftalens genstand. Ingen ændring eller ændring af denne aftale træder i kraft, medmindre den er skriftlig og underskrevet af en behørigt bemyndiget repræsentant for TI. Du garanterer og erklærer, at Du har opnået alle godkendelser og andre relevante samtykker, der kræves for at bemyndige Dig til at indgå denne aftale.

Software en andere elektronische documentatie die gekoppeld is aan het licentieprogramma en die onder andere voorwaarden vallen dandevoorwaarden van deze Overeenkomst,met inbegrip van, maar niet beperkt tot,open source-software of software van derden. |

“U” of “Uw” betekent u persoonlijk als u de rechten die hierin zijn toegekend zelf zult gebruiken, maar het betekent uw Instelling, als u deze Overeenkomst aangaat in opdracht van de Instelling. |
Licentieprogramma's worden in licentie gegeven, niet verkocht, door Texas Instruments Incorporated (“TI”) en/of enige van toepassing zijnde licentiegevers (gezamenlijk “Licentiegever” genoemd) onder de hieronder verleende licentie. Als U door deze Overeenkomst te accepteren toegang krijgt tot andere materialen met een licentie, dan wordt dat materiaal vermeld in de bijlage die bij het licentieprogramma wordt geleverd. Op uw gebruik van de andere Materialen met een licentie zijn andere voorwaarden, erkenningen en afwijzingen van aansprakelijkheid van toepassing zoals opgenomen in de bijlage(n) en/of opgenomen in het andere Materiaal in de softwarebundel. De rechten uit deze Overeenkomst vervangen de rechten voor het andere Materiaal met een licentie niet.
LICENTIE VOOR ÉÉN GEBRUIKER (SINGLE USER)
Voor de licentie voor één gebruiker verleent de Licentieverstrekker, U een persoonlijke, niet-exclusieve, niet-overdraagbare licentie voor het gebruik (en het downloaden en installeren, indien van toepassing) van het licentieprogramma op ondersteunde hardwareapparaten. Virtueel gebruik (d.w.z. gelijktijdig gebruik van het licentieprogramma door twee of meer gebruikers) is strikt verboden. U mag één kopie van het licentieprogramma maken voor back-up- en archiveringsdoeleinden. U geeft dan ook alle kennisgevingen over auteursrechten en eigendomsrechten in de software en op de media door. Tenzij uitdrukkelijk anders vermeld in de documentatie, mag U dergelijke documentatie niet kopiëren.
Aanvullende voorwaarden die van toepassing zijn op alle licenties:
1. Restricties
U mag de broncode van het Licentieprogramma niet afleiden (reverse assembly of engineering is verboden). U mag het Licentieprogramma niet wijzigen, publiceren, onthullen, weergeven, verstrekken, of enig deel daarvan overdragen, verkopen, verhuren, leasen of anderszins ter beschikking stellen. U mag de Licentieprogramma's niet overdragen, opnieuw distribueren of in sub licentie geven, tenzij uitdrukkelijk toegestaan in deze Overeenkomst, en als u uw apparaat aan een derde verkoopt, moet u het licentieprogramma van het apparaat verwijderen voordat u dit doet. De licentieverstrekker behoudt alle rechten in en op het licentieprogramma dat niet uitdrukkelijk aan u is verleend onder deze Overeenkomst.
2. Ondersteuning en aanpassingen
Voor ondersteuning bij het licentieprogramma kunt u contact opnemen met TI via https://education.ti.com/ti-cares. TI behoudt zich het recht voor om het licentieprogramma op elk moment naar eigen goeddunken te beëindigen of aan te passen, uit te breiden, te verbeteren en andere wijzigingen aan te brengen.
3. Auteursrecht
Op het licentieprogramma zijn copyright en andere intellectuele-eigendomsrechten van toepassing. U mag geen informatie over vertrouwelijkheid, handelsgeheim, handelsmerk, patent, copyright, eigendomsinformatie of andere merken of ontwerpen van enig onderdeel van het Licentieprogramma verwijderen, wijzigen, bedekken of verhullen.
4. Garantie
TI garandeert niet dat de licentieprogramma's vrij zullen zijn van fouten of zullen voldoen aan Uw specifieke vereisten. DE LICENTIEPROGRAMMA'S WORDEN GELEVERD IN DE STAAT ZOALS ZE ZIJN EN MET ALLE EVENTUELE STORINGEN. TI EN HAAR LICENTIEVERSTREKKERS GEVEN GEEN UITDRUKKELIJKE, STILZWIJGENDE OF WETTELIJKE GARANTIE OF VERKLARING MET BETREKKING TOT DE IN LICENTIE GEGEVEN PROGRAMMA'S, MET INBEGRIP VAN, MAAR NIET BEPERKT TOT, ENIGE IMPLICIETE GARANTIES VAN VERKOOPBAARHEID OF GESCHIKTHEID VOOR EEN BEPAALD DOEL, VEILIGHEID OF NIET-INBREUK OP PATENTEN, AUTEURSRECHTEN, HANDELSGEHEIMEN OF ANDERE INTELLECTUELE EIGENDOMSRECHTEN VAN DERDEN. GEEN ENKELE MONDELINGE OF SCHRIFTELIJKE INFORMATIE OF ADVIES GEGEVEN DOOR TI ZAL TOT ENIGE GARANTIE LEIDEN.
5. Beperkingen
TI OF HAAR LICENTIEVERSTREKKERS ZIJN IN GEEN GEVAL AANSPRAKELIJK VOOR INDIRECTE OF INCIDENTELE SCHADE, SCHADE DOOR BESTRAFFING OF GEVOLGSCHADE, WINSTDERVING, GEBRUIKSDERVING, VERLIES VAN GEGEVENS, OF ONDERBREKING VAN DE BEDRIJFSACTIVITEITEN, ONGEACHT OF DE BEWEERDE SCHADE WORDT VERMELD IN DE VORM VAN EEN ONRECHTMATIGE DAAD, CONTRACT OF SCHADELOOSSTELLING.
IN GEEN GEVAL ZAL DE AANSPRAKELIJKHEID VAN TI OF HAAR LICENTIEVERSTREKKERS ONDER DEZE OVEREENKOMST OF VOORTVLOEIEND UIT UW GEBRUIK VAN DE LICENTIEPROGRAMMA'S, OF ALLE DOOR TI VERZAMELDE GEGEVENS MET BETREKKING TOT DE LEERLINGGEGEVENS DE HOOGTE VAN (I) DE BEDRAGEN DIE U HEBT BETAALD VOOR DE LICENTIEPROGRAMMA'S OF (II) VIJFTIG AMERIKAANSE DOLLARS (US$50) OVERSCHRIJDEN.
In sommige rechtsgebieden is de uitsluiting of beperking van incidentele schade of gevolgschade of beperking van de duur van een impliciete garantie niet toegestaan, zodat de bovenstaande beperking mogelijk niet op U van toepassing is.
6. Uw Content en schadeloosstelling
U verklaart en garandeert dat alle Content die U gebruikt met het licentieprogramma of, indien van toepassing, via Google-diensten zoals Google Classroom en Google Drive geen inbreuk maakt op de intellectuele eigendomsrechten van anderen. U verklaart en garandeert verder dat dergelijke inhoud zal voldoen aan toepasselijke voorwaarden van derden, waaronder, maar niet beperkt tot, Google-diensten met betrekking tot inhoud die U naar de Google-diensten leidt. U stemt ermee in TI (inclusief zijn agenten en vertegenwoordigers) te vrijwaren en schadeloos te stellen voor alle schade, kosten, verliezen en/of aansprakelijkheden die voortvloeien uit Uw niet-naleving van de voorwaarden en bepalingen van deze Overeenkomst. Deze sectie zal elke beëindiging of afloop van deze Overeenkomst overleven.
7. Beëindiging
Onverminderd andere rechten kan TI Uw recht om het licentieprogramma te gebruiken beëindigen, als U de voorwaarden van deze Overeenkomst schendt. Met uitzondering van de hierboven verleende licenties blijven alle bepalingen van deze Overeenkomst van kracht na afloop of beëindiging van deze Overeenkomst.
8. Exportcontrole
Het licentieprogramma kan onderhevig zijn aan exportbeperkingen en -sancties van de VS. U stemt ermee in alle toepasselijke wetten en voorschriften na te leven. Het licentieprogramma mag niet worden geëxporteerd, opnieuw worden geëxporteerd, overgedragen of doorverkocht aan personen of entiteiten die onder embargo staan, zijn gesanctioneerd of als beperkte bestemmingen in de VS zijn aangegeven (gezamenlijk aangeduid als “Denied Persons”). De denied persons omvatten, maar zijn niet beperkt tot, de personen of entiteiten die zijn vermeld op de lijst met denied persons van de Commerce Department’s Denied Persons List, de Commerce Department’s Entity List, de Directorate of Defense Trade Controls’ List of Statutorily Debarred Parties, en de Treasury Department’s List of Specially Designated Nationals. Door het gebruik van het Licentieprogramma verklaart en garandeert U dat U zich niet in een dergelijk land of op een dergelijke lijst bevindt, en dat U het Licentieprogramma niet zult verstrekken aan enige denied persons. U mag het licentieprogramma niet gebruiken of op andere wijze exporteren of opnieuw exporteren, tenzij dit is toegestaan door de wetgeving van de Verenigde Staten en de wetgeving van het rechtsgebied waarin het licentieprogramma is verkregen. U stemt er ook mee in dat U het licentieprogramma niet zult gebruiken voor doeleinden die verboden zijn door de wetgeving van de Verenigde Staten, inclusief, maar niet beperkt tot, de ontwikkeling, het ontwerp, de productie van nucleaire, chemische of biologische wapens of rakettechnologie. Zie deel 744 van de U.S. Export Administration Regulations.
9. Toepasselijk recht
Deze Overeenkomst valt onder de wetten van de staat Texas (VS), zonder verwijzing naar principes van conflicterende wetten. Als een bevoegde rechtbank een bepaling van de Overeenkomst niet afdwingbaar acht, zal deze bepaling zoveel mogelijk worden afgedwongen om de intentie van de partijen te bewerkstelligen, en zal de rest van de Overeenkomst volledig van kracht blijven. Deze Overeenkomst valt niet onder het Verdrag van de United Nations Convention on Contracts for the International Sale of Goods, of onder de Uniform Computer Information Transactions Act (UCITA). De partijen komen overeen dat niet-exclusieve jurisdictie voor enig geschil dat voortkomt uit of verband houdt met deze Overeenkomst ligt bij de rechtbanken in de staat Texas. Niettegenstaande het voorgaande kan een vonnis worden afgedwongen bij een Amerikaanse of buitenlandse rechtbank, en kan een van beide partijen een gerechtelijk bevel vragen bij een Amerikaanse of buitenlandse rechtbank. Als TI nalaat enige bepaling van deze Overeenkomst af te dwingen, wordt dit niet beschouwd als een verklaring van afstand van toekomstige handhaving van die of enige andere bepaling of enige andere overeenkomst die tussen de partijen van kracht kan zijn.
10. Leidende taal
Als TI U een vertaling van de Engelse versie van deze Overeenkomst heeft verstrekt, gaat U ermee akkoord dat de vertaling uitsluitend voor Uw gemak wordt aangeboden en dat de Engelse versie geldig is. Als er enige tegenstrijdigheid is tussen de Engelse versie van deze Overeenkomst en een vertaling, dan zal de Engelse versie leidend zijn.
11. Volledige overeenkomst
Dit is de volledige overeenkomst tussen U en TI, en deze Overeenkomst vervangt alle eerdere overeenkomsten tussen de partijen die betrekking hebben op het onderwerp van deze Overeenkomst. Geen enkele wijziging of aanpassing van deze Overeenkomst zal van kracht zijn, tenzij schriftelijk en ondertekend door een daartoe gemachtigde vertegenwoordiger van TI. U garandeert en verklaart dat U alle machtigingen en andere toepasselijke toestemmingen hebt verkregen die U nodig heeft om deze Overeenkomst aan te gaan.

TÄRKEÄÄ – käyttämällä Lisensoitua ohjelmaa käyttäjä sitoutuu noudattamaan Texas Instrumentsin verkkokäyttöehtoja ja tämän käyttöoikeussopimuksen (jäljempänä ’sopimus’) ehtoja. Lue nämä asiakirjat huolellisesti. Jos et hyväksy näitä ehtoja, älä käytä Lisensoitua ohjelmaa.
Vahvistat joko: (1) että olet täyttänyt 18 vuotta tai (2) olet 13 vuotta tai vanhempi mutta alle 18 vuotta (alaikäinen), että olet tarkistanut nämä ehdot vanhempasi tai huoltajasi kanssa ja että sinä ja vanhempasi tai huoltajasi ymmärrät nämä ehdot ja suostut niihin. Texas Instruments Incorporated (TI) ja/tai kaikki sovellettavat lisenssinantajat (jäljempänä myönnetyn lisenssin nojalla) lisensoivat lisensoidut ohjelmat, joita ei myydä. Jos käyttäjä hyväksyy tämän sopimuksen, hän pääsee käyttämään muuta lisensoitua materiaalia, kyseinen materiaali on lueteltu soveltuvassa Lisensoidun ohjelman ohjelmaluettelossa. Toisen käyttöoikeuden alaisen materiaalin käyttöön sovelletaan muita käyttöoikeusehtoja, kuittaamista ja vastuuvapauslausekkeita, jotka on määritetty sovellettavassa ohjelmaluettelossa ja/tai jotka on yksilöity tai jotka sisältyvät muuhun ohjelmistopakettiin sisältyvään materiaaliin. Tämä sopimus ei selventäisi sitä, että se rajoittaisi käyttäjän oikeuksia, jotka ovat toisen lisensoidun materiaalin osalta sovellettavien lisenssisopimusten ehtoja tai suosi käyttäjälle oikeuksia.
YHDEN KÄYTTÄJÄN LISENSSI
Yhden käyttäjän lisenssin osalta Lisensoitua saatuaan käyttöoikeuden antaja myöntää käyttäjälle henkilökohtaisen, ei-yksinomaisen, ei-siirrettävän lisenssin käyttää (ja tarvittaessa ladata ja asentaa) Lisensoitua ohjelmaa tuetuissa laitteissa. Virtuaalinen käyttö ( eli lisensoidun ohjelman samanaikainen käyttö kahden tai useamman käyttäjän toimesta) on ehdottomasti kielletty. Voit tehdä Lisensoitua ohjelmaa varmuuskopiointia ja arkistointia varten. Käyttäjä sitoutuu toistamaan kaikki ohjelmistossa ja tallennusvälineessä näkyvät tekijänoikeus- ja omistusoikeutta koskevat ilmoitukset. Ellei ohjeissa toisin mainita, käyttäjä ei saa kopioida näitä asiakirjoja.
Kaikkiin lisensseihin sovellettavat lisäehdot:
1. Rajoitukset.
Käyttäjä ei saa kääntää, takaisinmallintaa Lisensoitua ohjelmaa lähdekoodilla. Et saa muokata, julkaista, paljastaa, näyttää, antaa, Lisensoidun ohjelman tai sen osan siirtäminen, myyminen, vuokraaminen, vuokraaminen tai muu luovuttaminen. Et saa siirtää, jakaa uudelleen tai alilisensoida Lisensoituja ohjelmia muutoin kuin tässä sopimuksessa nimenomaisesti sallitulla tavalla. Jos myyt laitteistosi kolmannelle osapuolelle, sinun on poistettava lisensoitu ohjelma laitteistolaitteesta ennen sen tekemistä. Lisenssinantaja pidättää kaikki oikeudet lisensoidun ohjelman piiriin ja Lisensoituun ohjelmaan, jota ei ole nimenomaisesti myönnetty sinulle tämän sopimuksen nojalla.
2. Tuki ja muutokset.
Lisensoitua ohjelmaa tuetaan ottamalla yhteyttä TI: hin osoitteessa https://education.ti.com/ti-cares. TI pidättää oikeuden keskeyttää Lisensoitujen ohjelmien tai tehdä niihin korjauksia, parannuksia, parannuksia ja muita muutoksia milloin tahansa oman harkintansa mukaan.
3. Tekijänoikeudet.
Lisensoituun ohjelmaan sovelletaan tekijänoikeuksia ja muita soveltuvia immateriaalioikeuksia koskevia suojauksia. Käyttäjä ei saa poistaa, muuttaa, peittää tai peittää mitään luottamuksellisuutta, liikesalaisuutta, tavaramerkkiä, patenttia, tekijänoikeutta tai muuta omistusoikeutta koskevaa ilmoitusta tai muita tunnistemerkkejä tai malleja mistään Lisensoitujen ohjelmien osasta.
4. Takuu.
Ti ei takaa, että lisensoidut ohjelmat eivät sisällä virheitä tai että ne täyttävät erityiset vaatimuksesi. LISENSOIDUT OHJELMAT TOIMITETAAN SELLAISENAAN JA KAIKKINE VIREINEEN. TI JA SEN LISENSSINHALTIJAT EIVÄT ANNA MITÄÄN SUORIA, OLETETETETTUJA TAI LAKISÄÄTEISIÄ TAKUITA TAI TAKUITA LISENSOITUJEN OHJELMIEN OSALTA, MUKAAN LUKIEN MUUN MUASSA OLETUT TAKUUT MYYNTIKELPOISUUDESTA TAI SOVELTUVUUDESTA TIETTYYN TARKOITUKSEEN, TURVALLISUUDESTA TAI KOLMANSIEN OSAPUOLTEN PATENTTIEN, TEKIJÄNOIKEUKSIEN, LIIKESALAISUUKSIEN TAI MUIDEN IMMATERIAALIOIKEUKSIEN LOUKKAAMATTA JÄTTÄMISESTÄ. MIKÄÄN TI:N ANTAMA SUULLINEN TAI KIRJALLINEN TIETO TAI OHJE EI LUO TAKUUTA.
5. Rajoitukset.
TI TAI SEN LISENSSINHALTIJAT EIVÄT MISSÄÄN TAPAUKSESSA OLE VASTUUSSA MISTÄÄN VÄLILLISISTÄ, VÄLILLISISTÄ, RANKAISEVISTA TAI SEURANNAISISTA VAHINGOISTA, MENETETYISTÄ VOITOISTA, KÄYTÖN TAI TIETOJEN MENETYKSISTÄ TAI LIIKETOIMINNAN KESKEYTYKSISTÄ RIIPPUMATTA SIITÄ, ONKO VÄITETYT VAHINGOT MERKITTY TORT-SOPIMUKSEEN, SOPIMUKSEEN TAI KORVAUSVASTUUSEEN.
TI TAI SEN LISENSSINHALTIJOITTAJAT EIVÄT MISSÄÄN TAPAUKSESSA OLE TÄMÄN SOPIMUKSEN NOJALLA TAI LISENSOIDUN OHJELMAN KÄYTÖN VUOKSI VASTUUSSA, TAI MIKÄ TAHANSA TIETORIKKOMUS, JOHON LIITTYY TI:N KERÄÄMIÄ OPISKELIJATIETOJA, YLITTÄÄ SUUREMMAN OSAN (I) KÄYTTÄJÄN LISENSSIOHJELMISTA MAKSAMASTA MÄÄRÄSTÄ TAI (II) 50 YHDYSVALTAIN DOLLARIA (50 DOLLARIA).
Jotkin lainkäyttöalueet eivät salli satunnaisten tai välillisten vahinkojen poissulkemista tai rajoittamista tai epäsuoran takuun keston rajoittamista, joten edellä mainittu rajoitus ei ehkä koske sinua.
6. Sisältö ja korvausvastuu.
Käyttäjä edustaa ja takaa, että kaikki Lisensoidun ohjelman kanssa käyttämienne sisältöjen sisältö tai, jos se on mahdollista, reitti Google-palveluihin, kuten Google Classroom -luokkaan ja Google Driveen, ei loukkaa muiden immateriaalioikeuksia. Lisäksi käyttäjä takaa, että sisältö on sovellettavien kolmansien osapuolten ehtojen mukainen, mukaan lukien rajoituksetta Google-vaatimukset, jotka liittyvät Google-palveluihin kulkemasi sisällön osalta. Sitoudut vapauttamaan TI:n (mukaan lukien sen edustajat ja edustajat) vastuusta kaikkia vahinkoja, kustannuksia, menetyksiä ja/tai vastuita vastaan, jotka aiheutuvat siitä, että käyttäjä ei ole noudattanut tämän sopimuksen ehtoja ja määräyksiä. 7. Irtisanominen.
Jos rikot tämän sopimuksen ehtoja, TI voi lopettaa oikeutesi käyttää Lisensoitua ohjelmaa, sanotun kuitenkaan rajoittamatta muita oikeuksia. Edellä mainittuja lisenssejä lukuun ottamatta kaikki tämän sopimuksen määräykset pysyvät voimassa tämän sopimuksen voimassaolon päättymisen tai päättymisen jälkeen.
8. Viennin valvonta.
Lisensoitu ohjelma voi olla Yhdysvaltain vientivalvonnan ja -seuraamusten alainen. Käyttäjä sitoutuu noudattamaan kaikkia sovellettavia lakeja ja säädöksiä. Lisensioitua ohjelmaa ei saa viedä, jälleenviedä, siirtää tai jälleenmyydä Yhdysvaltain kauppasaartoon, pakotteiden kohteena oleviin tai rajoitettuihin kohteisiin, henkilöihin tai yhteisöihin (yhdessä ’kielletyillä henkilöillä’). Kiellettyihin henkilöihin kuuluvat muun muassa kauppaministeriön kiellettyjä henkilöitä koskevassa luettelossa luetellut henkilöt tai yhteisöt, kauppaministeriön yksikköluettelossa, puolustusministeriön rajoittaman lainsäädännön piiriin kuuluvien osapuolten luettelossa mainitut henkilöt tai yhteisöt sekä valtiovarainministeriön erityisluetteloon nimetyt kansalaiset. Käyttämällä Lisensoitua ohjelmaa takaat, että et sijaitse missään tällaisessa maassa tai luettelossa ja että et luovuta Lisenssiohjelmaa henkilöille, joilta sitä on evätty. Käyttäjä ei saa käyttää tai muulla tavoin viedä tai jälleenviedä Lisensoitua ohjelmaa muutoin kuin Yhdysvaltain lainsäädännön ja sen lainkäyttöalueen lakien mukaisesti, jossa Lisensoitua ohjelmaa on hankittu. 11. Koko sopimus.

Vous acceptez de reproduire tous les avis de droits d'auteur et de propriété affichés dans le logiciel et sur le support. Conditions supplémentaires applicables à toutes les licences :
1. Restrictions.

5. Limitations.
EN AUCUN CAS, TI OU SES CONCÉDANTS DE LICENCE NE POURRONT ÊTRE TENUS RESPONSABLES DES DOMMAGES INDIRECTS, ACCIDENTELS, PUNITIFS OU CONSÉCUTIFS, DES PERTES DE PROFITS, DE LA PERTE D’UTILISATION OU DE DONNÉES, OU DE L’INTERRUPTION DES ACTIVITÉS, QUE LES DOMMAGES ALLÉGUÉS SOIENT ÉTIQUETÉS EN RESPONSABILITÉ DÉLICTUELLE, CONTRACTUELLE OU INDEMNITAIRE.
EN AUCUN CAS LA RESPONSABILITÉ GLOBALE DE TI OU DE SES CONCÉDANTS DE LICENCE EN VERTU DU PRÉSENT CONTRAT OU DÉCOULANT DE VOTRE UTILISATION DES PROGRAMMES SOUS LICENCE, OU TOUTE VIOLATION DE DONNÉES IMPLIQUANT DES DONNÉES SUR LES ÉLÈVES RECUEILLIES PAR TI, DÉPASSE (I) LE MONTANT LE PLUS ÉLEVÉ QUE VOUS AVEZ PAYÉ POUR LES PROGRAMMES SOUS LICENCE OU (II) CINQUANTE DOLLARS AMÉRICAINS (50 DOLLARS AMÉRICAINS).
Certaines juridictions n'autorisent pas l'exclusion ou la limitation des dommages accidentels ou indirects ou la limitation de la durée d'une garantie implicite, de sorte que la limitation ci-dessus peut ne pas s'appliquer à Vous.
6. Votre contenu et votre indemnité.
Vous déclarez et garantissez que tout contenu que Vous utilisez avec le Programme sous licence ou, le cas échéant, que Vous dirigez vers les services Google tels que Google Classroom et Google Drive ne violera pas les droits de propriété intellectuelle d'autrui. 7. Résiliation.

8. Contrôle des exportations.
Le Programme sous licence peut être soumis aux contrôles et sanctions américains à l'exportation. Vous acceptez de Vous conformer à toutes les lois et réglementations applicables. Le Programme sous licence ne peut pas être exporté, réexporté, transféré ou revendu vers des destinations, des personnes ou des entités sous embargo, sanctionnées ou restreintes aux États-Unis (collectivement, les « personnes refusées »). 9. Droit applicable.
Le présent Contrat sera régi et interprété en vertu des lois de l'État du Texas (États-Unis), sans référence aux principes de conflit de lois. Si un tribunal compétent juge qu'une disposition du présent Contrat n'est pas applicable, cette disposition sera appliquée dans toute la mesure possible pour donner effet à l'intention des parties, et le reste du Contrat restera en vigueur. Le présent Contrat ne sera pas régi par la Convention des Nations Unies sur les contrats de vente internationale de marchandises, ni par la Loi uniforme sur les transactions informatiques (UCITA). Les parties conviennent que la juridiction non exclusive pour tout litige découlant du présent Contrat ou lié à celui-ci incombe aux tribunaux de l'État du Texas. Nonobstant ce qui précède, tout jugement peut être exécuté par un tribunal américain ou étranger, et l'une ou l'autre des parties peut demander une injonction dans un tribunal américain ou étranger. Le non-respect par TI de toute disposition du présent Contrat ne sera pas considéré comme une renonciation à l'application future de cette disposition ou de toute autre disposition ou de tout autre accord qui pourrait être en place entre les parties.
10. Langue applicable.
Si TI Vous a fourni une traduction de la version anglaise du présent Contrat, Vous acceptez que la traduction soit fournie uniquement pour votre commodité et que la version anglaise sera régie et contrôlée. En cas de contradiction entre la version anglaise du présent Contrat et une traduction, la version anglaise fera autorité et sera contrôlée.
11. Intégralité du contrat.
Il s'agit de l'intégralité de l'accord entre Vous et TI, et le présent accord remplace tout accord antérieur entre les parties concernant l'objet du présent accord. Aucune modification du présent Contrat ne sera effective à moins qu'elle ne soit signée par écrit et signée par un représentant dûment autorisé de TI. Vous garantissez et déclarez avoir obtenu toutes les autorisations et autres consentements applicables nécessaires pour Vous permettre de conclure le présent Contrat.

WICHTIG – Durch die Nutzung des lizenzierten Programms erklären Sie sich damit einverstanden, die Texas Instruments Online-Nutzungsbedingungen und die Bestimmungen dieser Lizenzvereinbarung (die „Vereinbarung“) einzuhalten. Bitte lesen Sie diese Dokumente sorgfältig durch. Wenn Sie diesen Bedingungen nicht zustimmen, dürfen Sie das lizenzierte Programm nicht verwenden.
Sie bestätigen entweder: (1), dass Sie das 18. LIZENZ FÜR EINEN BENUTZER
Für die Einzelbenutzer-lizenz gewährt Ihnen der Lizenzgeber nach eines persönliche, nicht exklusive, nicht übertragbare Lizenz zur Nutzung (und ggf. zum Herunterladen und Installieren) des lizenzierten Programms auf unterstützte Hardware-Gerät. Die virtuelle Nutzung (d. h. die gleichzeitige Nutzung des lizenzierten Programms durch zwei oder mehr Benutzer) ist streng verboten. Sie dürfen eine Kopie des lizenzierten Programms zu Sicherungs- und Archivierungszwecken erstellen. Sie stimmen zu, alle in der Software und auf den Medien gezeigten Copyright- und Eigentumshinweise zu reproduzieren. Sofern in der Dokumentation nicht ausdrücklich etwas anderes angegeben ist, dürfen Sie diese Dokumentation nicht vervielfältigen.
Zusätzliche Bedingungen für alle Lizenzen:
1. Einschränkungen.
Sie dürfen den Quellcode des lizenzierten Programms nicht zurückkompilieren oder versuchen, ihn abzuleiten. Sie dürfen das lizenzierte Programm oder einen Teil davon weder ändern, veröffentlichen, offenlegen, anzeigen, bereitstellen, übertragen, verkaufen, vermieten, leasen oder anderweitig zur Verfügung stellen. Sie dürfen die lizenzierten Programme nicht übertragen, weitergeben oder unterlizenzieren, es sei denn, dies ist ausdrücklich in diesem Vertrag zulässig. Wenn Sie Ihr Hardwaregerät an einen Dritten verkaufen, müssen Sie das lizenzierte Programm vor diesem Vorgang vom Hardwaregerät entfernen. Der Lizenzgeber behält sich alle Rechte am lizenzierten Programm vor, die Ihnen im Rahmen dieser Vereinbarung nicht ausdrücklich gewährt werden.
2. Unterstützung und Änderungen.
Support für das lizenzierte Programm wird durch Kontaktaufnahme mit TI unter https://education.ti.com/ti-cares bereitgestellt. TI behält sich das Recht vor, das lizenzierte Programm jederzeit nach eigenem Ermessen einzustellen oder Korrekturen, Verbesserungen und andere Änderungen vorzunehmen.
3. Urheberrecht.
Das lizenzierte Programm unterliegt dem Schutz des Urheberrechts und anderer anwendbarer Schutzrechte an geistigem Eigentum. Sie dürfen keine Vertraulichkeits-, Geschäftsgeheimnis-, Marken-, Patent-, Urheber- oder sonstigen Eigentumshinweise oder andere kennzeichnende Marken oder Designs aus einer Komponente des lizenzierten Programms entfernen, verändern, abdecken oder verschleiern.
4. Gewährleistung.
TI garantiert nicht, dass die lizenzierten Programme fehlerfrei sind oder Ihre spezifischen Anforderungen erfüllen. DIE LIZENZIERTEN PROGRAMME WERDEN „WIE BESEHEN“ UND MIT ALLEN FEHLERN BEREITGESTELLT. 5. Einschränkungen.
IN KEINEM FALL HAFTEN TI ODER SEINE LIZENZGEBER FÜR INDIREKTE, ZUFÄLLIGE, STRAF- ODER FOLGESCHÄDEN, ENTGANGENE GEWINNE, VERLUST DER NUTZUNG ODER DER DATEN ODER UNTERBRECHUNG DES GESCHÄFTSBETRIEBS, UNABHÄNGIG DAVON, OB DIE ANGEBLICHEN SCHÄDEN DURCH UNERLAUBTE HANDLUNG, VERTRAG ODER SCHADENERSATZ GEKENNZEICHNET SIND.
IN KEINEM FALL ÜBERNIMMT TI ODER SEINE LIZENZGEBER DIE HAFTUNG GEMÄSS DIESER VEREINBARUNG ODER AUS IHRER NUTZUNG DER LIZENZIERTEN PROGRAMME, ODER EINE VERLETZUNG DER DATEN VON SCHÜLERN, DIE VON TI ERFASST WERDEN FÜR EINEN HÖHEREN BETRAG ( I) DER VON IHNEN FÜR DIE LIZENZIERTEN PROGRAMME GEZAHLTEN BETRÄGE ODER (II) FÜNFZIG US-DOLLAR (50 US-DOLLAR) ÜBERSCHREITEN.
In einigen Gerichtsbarkeiten ist der Ausschluss oder die Beschränkung von Neben- oder Folgeschäden oder die Beschränkung der Dauer einer stillschweigenden Garantie nicht zulässig, sodass die oben genannte Beschränkung möglicherweise nicht für Sie gilt.
6. Ihre Inhalte und Schadloshaltung.
Sie sichern zu und garantieren, dass alle Inhalte, die Sie mit dem lizenzierten Programm verwenden oder gegebenenfalls zu Google-Diensten wie Google Classroom und Google Drive weiterleiten, nicht die geistigen Eigentumsrechte anderer verletzen. Darüber hinaus sichern Sie zu, dass diese Inhalte den geltenden Bedingungen von Drittanbietern entsprechen, einschließlich, jedoch nicht beschränkt auf die Anforderungen von Google in Bezug auf Inhalte, die Sie in die Google-Dienste weiterleiten. Sie erklären sich damit einverstanden, TI (einschließlich seiner Vertreter) von allen Schäden, Kosten, Verlusten und/oder Verbindlichkeiten freizustellen, die sich aus der Nichteinhaltung der Bedingungen und Bestimmungen dieser Vereinbarung durch Sie ergeben. Dieser Abschnitt gilt auch nach Beendigung oder Ablauf dieser Vereinbarung.
7. Kündigung.
Unbeschadet anderer Rechte kann TI Ihr Recht zur Nutzung des lizenzierten Programms kündigen, wenn Sie gegen die Bedingungen dieser Vereinbarung verstoßen. Mit Ausnahme der oben gewährten Lizenzen bleiben alle Bestimmungen dieses Vertrags über den Ablauf oder die Beendigung dieses Vertrags hinaus bestehen.
8. Exportkontrolle.
Das lizenzierte Programm unterliegt möglicherweise Exportkontrollen und Sanktionen der USA. Sie erklären sich damit einverstanden, alle geltenden Gesetze und Vorschriften einzuhalten. Das lizenzierte Programm darf nicht exportiert, re-exportiert, übertragen oder an von US-Embargos sanktionierte oder eingeschränkte Bestimmungsorte, Personen oder Körperschaften (zusammen „abgelehnte Personen“) weiterverkauft werden. Zu den abgelehnten Personen gehören unter anderem die Personen oder Einrichtungen, die auf der Commerce Department’s Denied Persons List, der Commerce Department’s Entity List, der Directorate of Defense Trade Controls’ List of Statutorily Debarred Parties und der Treasury Department’s List of Specially Designated Nationals stehen. Durch die Nutzung des lizenzierten Programms erklären und garantieren Sie, dass Sie sich nicht in einem solchen Land oder auf einer solchen Liste befinden und dass Sie das Lizenzprogramm nicht an abgelehnte Personen bereitstellen werden. Sie dürfen das lizenzierte Programm nicht verwenden oder anderweitig exportieren oder reexportieren, es sei denn, dies ist durch die Gesetze der Vereinigten Staaten und die Gesetze der Gerichtsbarkeit, in der das lizenzierte Programm erworben wurde, genehmigt. Sie stimmen außerdem zu, dass Sie das lizenzierte Programm nicht für Zwecke verwenden werden, die nach US-Recht verboten sind, einschließlich, aber nicht beschränkt auf die Entwicklung, das Design oder Herstellung von nuklearen, chemischen oder biologischen Waffen oder Raketentechnik. 9. Geltendes Recht.
Diese Vereinbarung unterliegt den Gesetzen des US-Bundesstaates Texas (USA) und wird unter Ausschluss von Kollisionsnormen ausgelegt. Wenn ein zuständiges Gericht eine Bestimmung des Vertrags für nicht durchsetzbar hält, wird diese Bestimmung so weit wie möglich durchgesetzt, um die Absicht der Parteien zu erfüllen, und der Rest des Vertrags bleibt in voller Kraft und Wirkung. Diese Vereinbarung unterliegt weder dem Übereinkommen der Vereinten Nationen über Verträge über den internationalen Warenkauf noch dem Uniform Computer Information Transactions Act (UCITA). Die Parteien vereinbaren, dass die nicht ausschließliche Zuständigkeit für alle Streitigkeiten, die sich aus oder in Verbindung mit diesem Vertrag ergeben, bei den Gerichten im Bundesstaat Texas liegt. Ungeachtet des Vorstehenden kann jedes Urteil vor einem Gericht der Vereinigten Staaten oder eines ausländischen Gerichts vollstreckt werden, und jede Partei kann bei einem Gericht der Vereinigten Staaten oder eines ausländischen Gerichts Unterlassungsanspruch beantragen. Die Nichtdurchsetzung einer Bestimmung dieser Vereinbarung durch TI stellt keinen Verzicht auf die künftige Durchsetzung dieser oder anderer Bestimmungen oder anderer Vereinbarungen zwischen den Parteien dar.
10. Maßgebende Sprache.
Wenn TI Ihnen eine Übersetzung der englischsprachigen Version dieses Vertrags zur Verfügung gestellt hat, erklären Sie sich damit einverstanden, dass die Übersetzung nur zu Ihrer Bequemlichkeit zur Verfügung gestellt wird und dass die englischsprachige Version verbindlich ist. Wenn es einen Widerspruch zwischen der englischsprachigen Version dieses Vertrags und einer Übersetzung gibt, ist die englischsprachige Version maßgebend und kontrollierend.
11. Gesamte Vereinbarung.
Dies ist die gesamte Vereinbarung zwischen Ihnen und TI, und diese Vereinbarung ersetzt alle vorherigen Vereinbarungen zwischen den Parteien in Bezug auf den Gegenstand dieser Vereinbarung. Änderungen oder Ergänzungen dieser Vereinbarung sind nur wirksam, wenn sie schriftlich erfolgen und von einem ordnungsgemäß autorisierten Vertreter von TI unterzeichnet werden. Sie sichern zu und versichern, dass Sie alle erforderlichen Genehmigungen und sonstigen anwendbaren Einwilligungen erhalten haben, die Sie zum Eingehen dieser Vereinbarung befähigen.

IMPORTANTE – Utilizzando il programma concesso in licenza, Lei accetta di rispettare i Termini d’uso online di Texas Instruments e le disposizioni del presente Contratto di licenza ("Contratto"). Si prega di leggere attentamente questi documenti. Se non accetta i presenti termini, non utilizzi il programma concesso in licenza.
Lei conferma: (1) di aver raggiunto l'età di 18 anni o (2) nel caso in cui Lei abbia almeno 13 anni, ma meno di 18 ("minori"), di aver esaminato i presenti termini con il proprio genitore o tutore e di aver compreso e acconsentito a questi termini. Se Lei è un genitore o tutore di un minore che utilizza il programma concesso in licenza, comprende e accetta di: (i) supervisionare l'utilizzo da parte del minore del programma concesso in licenza; (ii) assumersi tutti i rischi e le responsabilità associati all'utilizzo da parte del minore del programma concesso in licenza; (iii) garantire l'accuratezza e la veridicità di tutte le informazioni inviate dall'utente o dal minore; e (iv) assumersi la responsabilità ed essere vincolato dai presenti termini per l'accesso e l'uso da parte del minore del programma concesso in licenza.

I Programmi con licenza sono concessi in licenza, non venduti, da Texas Instruments Incorporated ("TI") e/o da eventuali licenziatari (collettivamente denominati "Licenziante") in base alla licenza concessa di seguito. Se accettando il presente Contratto, Lei ottiene l'accesso ad altro materiale concesso in licenza, tale materiale sarà elencato nel manifest del software applicabile fornito con il programma concesso in licenza. L'utilizzo dell'altro materiale concesso in licenza è soggetto agli altri termini di licenza, alle conferme e alle esclusioni di responsabilità applicabili, come specificato nel manifest del software applicabile e/o identificato o incluso con l'altro materiale concesso in licenza nel pacchetto software. A scopo di chiarimento, il presente Contratto non limita i Suoi diritti né Le concede diritti che sostituiscono i termini di qualsiasi contratto di licenza applicabile per l'altro materiale concesso in licenza.
LICENZA PER SINGOLO UTENTE
Per la licenza per singolo utente, il Licenziante Le concede una licenza personale, non esclusiva e non trasferibile per l’utilizzo (e per il download e l’installazione, se applicabile) del programma concesso in licenza su dispositivo hardware supportati. L'uso virtuale (ovvero l'uso simultaneo del programma concesso in licenza da parte di due o più utenti) è severamente vietato. Lei può effettuare una copia del programma concesso in licenza per scopi di backup e archiviazione. Lei accetta di riprodurre tutti gli avvisi di copyright e proprietà indicati nel software e sui supporti. Se non diversamente specificato nella.
Termini aggiuntivi applicabili a tutte le licenze:
1. Restrizioni.
Lei non può eseguire operazioni di reverse-assemblaggio o reverse-compilazione, né tentare di ricavare il codice sorgente del programma concesso in licenza. Non può modificare, pubblicare, divulgare, visualizzare, fornire, trasferire, vendere, affittare, noleggiare o rendere disponibile in altro modo il programma concesso in licenza o una parte di esso. Lei non può trasferire, ridistribuire o concedere in sublicenza i programmi concessi in licenza, salvo nei casi espressamente consentiti nel presente Contratto e, se vende il Suo dispositivo hardware a terzi, deve prima rimuovere il programma concesso in licenza dal dispositivo hardware. Il Licenziante si riserva tutti i diritti relativi al programma concesso in licenza e non espressamente a Lei concessi ai sensi del presente Contratto.
2. Assistenza e modifiche.
L’assistenza per il programma concesso in licenza viene fornito contattando TI all'indirizzo https://education.ti.com/ti-cares. TI si riserva il diritto di interrompere o apportare correzioni, sviluppi, miglioramenti e altre modifiche al programma concesso in licenza in qualsiasi momento e a sua esclusiva discrezione.
3. Copyright.
Il programma concesso in licenza è soggetto a copyright e ad altre protezioni di proprietà intellettuale applicabili. Lei non deve rimuovere, alterare, coprire o oscurare alcun avviso di riservatezza, segreto commerciale, marchio di fabbrica, brevetto, copyright o altro avviso di proprietà o altri marchi o disegni identificativi da qualsiasi componente del programma concesso in licenza.
4. Garanzia.
TI non garantisce che i programmi concessi in licenza siano esenti da errori o soddisfino le Sue specifiche esigenze. I PROGRAMMI CONCESSI IN LICENZA SONO FORNITI "COSÌ COME SONO" E CON TUTTI I DIFETTI. TI E I SUOI LICENZIATARI NON RILASCIANO ALCUNA GARANZIA O DICHIARAZIONE, ESPLICITA, IMPLICITA O LEGALE, IN MERITO AI PROGRAMMI CONCESSI IN LICENZA, INCLUSE, A TITOLO ESEMPLIFICATIVO MA NON ESAUSTIVO, QUALSIASI GARANZIA IMPLICITA DI COMMERCIABILITÀ O IDONEITÀ PER UNO SCOPO PARTICOLARE, SICUREZZA O NON VIOLAZIONE DI BREVETTI DI TERZI, COPYRIGHT, SEGRETI COMMERCIALI O ALTRI DIRITTI DI PROPRIETÀ INTELLETTUALE. NESSUNA INFORMAZIONE ORALE O SCRITTA O CONSIGLIO FORNITO DA TI CREERÀ ALCUNA GARANZIA.
5. Limitazioni.
IN NESSUN CASO TI O I SUOI LICENZIANTI SARANNO RESPONSABILI PER DANNI INDIRETTI, INCIDENTALI, PUNITIVI O CONSEQUENZIALI, PERDITA DI PROFITTI, PERDITA DI UTILIZZO O DI DATI O INTERRUZIONE DI ATTIVITÀ, INDIPENDENTEMENTE DAL FATTO CHE I PRESUNTI DANNI SIANO RICONDUCIBILI A ILLECITI, CONTRATTI O INDENNIZZI.
IN NESSUN CASO LA RESPONSABILITÀ AGGREGATA DI TI O DEI SUOI LICENZIATARI, PREVISTA DAL PRESENTE CONTRATTO O DERIVANTE DALL'UTILIZZO DEI PROGRAMMI CONCESSI IN LICENZA, O DA QUALSIASI VIOLAZIONE CHE COINVOLGA I DATI DEGLI STUDENTI RACCOLTI DA TI, SUPERA IL MAGGIORE DI (i) GLI IMPORTI PAGATI DALL'UTENTE PER I PROGRAMMI CONCESSI IN LICENZA O (ii) CINQUANTA DOLLARI USA (50 DOLLARI USA).
Alcune giurisdizioni non consentono l'esclusione o la limitazione di danni incidentali o consequenziali o la limitazione della durata di una garanzia implicita, pertanto la suddetta limitazione potrebbe non esserLe applicabile.
6. Contenuto e indennizzo.
Lei dichiara e garantisce che qualsiasi contenuto da Lei utilizzato con il programma concesso in licenza o, se applicabile, instradato in servizi Google come Google Classroom e Google Drive non violi i diritti di proprietà intellettuale di terzi. Lei dichiara e garantisce inoltre che tali contenuti saranno conformi ai termini di terze parti applicabili, inclusi, a titolo esemplificativo, i requisiti di Google relativi ai contenuti che Lei instrada verso i servizi Google. Lei accetta di indennizzare e tenere indenne TI (compresi i suoi agenti e rappresentanti) da eventuali danni, costi, perdite e/o responsabilità derivanti dalla Sua mancata conformità con i termini e le disposizioni del presente Contratto. Questa sezione sarà valida anche dopo la risoluzione o la scadenza del presente Contratto.
7. Risoluzione.
Fatti salvi altri diritti, qualora Lei violi i termini del presente Contratto, TI può porre fine al Suo diritto di utilizzare il programma concesso in licenza. Fatta eccezione per le licenze concesse di cui sopra, tutte le disposizioni del presente Contratto rimarranno valide anche dopo la scadenza o la risoluzione del presente Contratto.
8. Controllo delle esportazioni.
Il programma concesso in licenza può essere soggetto a controlli e sanzioni statunitensi per le esportazioni. Lei accetta di rispettare tutte le leggi e le normative applicabili. Il programma concesso in licenza non può essere esportato, riesportato, trasferito o rivenduto a destinazioni, persone o entità soggette a embargo, sanzioni o restrizioni negli Stati Uniti (collettivamente, "Persone Negate"). Le Persone Negate includono, a titolo esemplificativo e non esaustivo, le persone o le entità elencate nell'Elenco delle Persone Negate del Dipartimento del Commercio, nell'Elenco delle Entità del Dipartimento del Commercio, nell'Elenco delle Parti Statutariamente Radiate della Direzione dei Controlli Commerciali della Difesa e nell'Elenco dei Cittadini Specialmente Designati del Dipartimento del Tesoro. Utilizzando il programma concesso in licenza, Lei dichiara e garantisce di non trovarsi in alcuno di tali Paesi o di non essere incluso in alcuno di tali elenchi e di non fornire il programma concesso in licenza ad alcuna Persone Negata. Lei non può utilizzare, esportare o riesportare in altro modo il programma concesso in licenza salvo quanto autorizzato dalla legge degli Stati Uniti e dalle leggi della giurisdizione in cui è stato ottenuto il programma concesso in licenza. Lei accetta inoltre di non utilizzare il programma concesso in licenza per scopi vietati dalla legge degli Stati Uniti, inclusi, a titolo esemplificativo, lo sviluppo, la progettazione, la fabbricazione o la produzione di armi nucleari, chimiche o biologiche o di tecnologia missilistica. 9. Diritto applicabile.
Il presente Contratto sarà disciplinato e interpretato in base alle leggi dello Stato del Texas (USA), senza alcun riferimento ai principi del conflitto di leggi. Se un tribunale della giurisdizione competente ritiene inapplicabile qualsiasi disposizione del Contratto, tale disposizione sarà applicata nella misura massima possibile per realizzare l'intento delle parti, mentre il resto del Contratto continuerà a essere pienamente valido ed efficace. Il presente accordo non sarà disciplinato dalla Convenzione delle Nazioni Unite sui contratti per la vendita internazionale di beni o dalla Legge sulle transazioni informatiche uniformi (UCITA). Le parti convengono che la giurisdizione non esclusiva per qualsiasi controversia derivante da o relativa al presente Contratto spetta ai tribunali dello Stato del Texas. Nonostante quanto sopra, qualsiasi sentenza può essere eseguita in qualsiasi tribunale degli Stati Uniti o in un tribunale straniero e ciascuna parte può richiedere un provvedimento ingiuntivo in qualsiasi tribunale degli Stati Uniti o in un tribunale straniero. La mancata applicazione da parte di TI di una disposizione del presente Contratto non sarà considerata una rinuncia alla futura applicazione di tale disposizione o di qualsiasi altra disposizione o di qualsiasi altro accordo eventualmente in vigore tra le parti.
10. Lingua applicabile.
Qualora TI Le abbia fornito una traduzione della versione in lingua inglese del presente Contratto, Lei accetta che la traduzione sia fornita solo per Sua comodità e che la versione in lingua inglese sarà quella di riferimento. In caso di contraddizione tra la versione in lingua inglese del presente Contratto e una traduzione, la versione in lingua inglese sarà quella più autorevole e di riferimento.
11. Completezza dell’accordo.
Il presente Contratto costituisce l’accordo completo tra Lei e TI e sostituisce qualsiasi accordo precedente tra le parti relativo all'oggetto del presente Contratto. Nessun emendamento o modifica del presente Contratto sarà effettivo a meno che non sia in forma scritta e firmata da un rappresentante debitamente autorizzato di TI. Lei garantisce e dichiara di aver ottenuto tutte le autorizzazioni e gli altri consensi applicabili necessari per la stipula del presente Contratto.

For avklaring begrenser ikke denne avtalen dine rettigheter under, eller gir deg rettigheter som erstatter, vilkårene i gjeldende lisensavtale for det andre lisensierte materialet.
LISENS FOR ENKELTBRUKER
Lisensgiver git deg en personlig, ikke-eksklusiv, ikke-overførbar lisens til å bruke (og til å laste ned og installere, hvis aktuelt) det lisensierte programmet på støttede maskinvareenheter. Virtuell bruk (dvs. samtidig bruk av det lisensierte programmet av to eller flere brukere) er strengt forbudt. Du kan lage én kopi av det lisensierte programmet for sikkerhetskopiering og arkivering. Du samtykker i å reprodusere alle merknader om opphavsrett og eiendomsrett som vises i programvaren og på mediene. Med mindre annet er uttrykkelig angitt i dokumentasjonen, kan Du ikke duplisere slik dokumentasjon.
Ytterligere vilkår som gjelder for alle lisenser:
1. Restriksjoner.

Støtte for det lisensierte programmet leveres ved å kontakte TI på https://education.ti.com/ti-cares. TI forbeholder seg retten til å avslutte eller foreta korrigeringer, forbedringer, forbedringer og andre endringer i det lisensierte programmet når som helst etter eget skjønn.
3. Copyright.

INGEN MUNTLIG ELLER SKRIFTLIG INFORMASJON ELLER RÅD GITT AV TI VIL SKAPE NOEN GARANTI.
5. Begrensninger.
IKKE UNDER NOEN OMSTENDIGHETER SKAL TI ELLER DETS LISENSGIVERE VÆRE ANSVARLIG FOR EVENTUELLE INDIREKTE, INDIREKTE, IKKE-INTUITIVE ELLER FØLGESKADER, TAPT FORTJENESTE, TAP AV BRUK ELLER DATA, ELLER AVBRUDD I VIRKSOMHETEN, ENTEN DE PÅSTÅTTE SKADER ER MERKET I TORT, KONTRAKT ELLER SKADEERSTATNING.
IKKE UNDER NOEN OMSTENDIGHETER VIL TI ELLER DETS LISENSGIVERES SAMLEDE ANSVAR UNDER DENNE AVTALEN ELLER DET SOM FREMKOMMER AV Din BRUK AV DE LISENSIERTE PROGRAMMENE, ELLER ETHVERT DATABRUDD SOM INVOLVERER STUDENTDATA SAMLET INN AV TI, OVERSTIGE DET STØRSTE AV (I) BELØPENE DU BETALTE FOR LISENSIERTE PROGRAMMER ELLER (II) FEMTI AMERIKANSKE DOLLAR (USD 50).

9. Gjeldende lov.

Hvis en domstol med kompetent jurisdiksjon finner en bestemmelse i avtalen som ikke kan håndheves, vil denne bestemmelsen håndheves i den grad det er mulig å iverksette partenes hensikt, og resten av avtalen skal fortsette i full kraft og effekt. Os Programas Licenciados são licenciados, não vendidos, pela Texas Instruments Incorporated ("TI") e/ou quaisquer licenciadores aplicáveis (coletivamente denominados "Licensor") ao abrigo da licença concedida abaixo. Se, ao aceitar o presente Contrato, obtiver acesso a Outro Material Licenciado, esse material será listado no manifesto de software aplicável fornecido com o Programa Licenciado. Para a Licença de Utilizador Único, o Licenciador concede-lhe uma licença pessoal, não exclusiva e intransmissível para utilizar (e para descarregar e instalar, se aplicável) o Programa Licenciado em Dispositivos de hardware suportados. A utilização virtual (ou seja, a utilização simultânea do Programa Licenciado por dois ou mais utilizadores) é estritamente proibida. Pode fazer uma cópia do Programa Licenciado para efeitos de backup e arquivo. O cliente concorda em reproduzir todos os avisos de direitos de autor e de propriedade mostrados no software e nos meios de comunicação. Salvo indicação expressa em contrário na documentação, não poderá duplicar tal documentação.
Termos adicionais aplicáveis a todas as licenças:
1. Restrições.
Não é permitida a montagem ou compilação inversa, nem a tentativa de derivar o código fonte do Programa Licenciado. Não pode modificar, publicar, divulgar, exibir, fornecer, transferir, vender, alugar, arrendar ou disponibilizar de outra forma o Programa Licenciado ou qualquer parte do mesmo. Não poderá transferir, redistribuir ou sublicenciar os Programas Licenciados, excepto conforme expressamente permitido no presente Acordo, e se vender o seu Dispositivo de Hardware a terceiros, deverá remover o Programa Licenciado do Dispositivo de Hardware antes de o fazer. O Licenciador reserva-se todos os direitos no e para o Programa Licenciado não expressamente concedidos ao Adquirente ao abrigo do presente Acordo.
2. Suporte e alterações.
O suporte ao Programa Licenciado é fornecido através do contacto com a TI em https://education.ti.com/ti-cares. A TI reserva-se o direito de interromper ou fazer correções, melhorias e outras alterações ao Programa Licenciado em qualquer altura, a seu exclusivo critério.
3. Direitos de autor.
O Programa Licenciado está sujeito a direitos de autor e outras proteções aplicáveis à propriedade intelectual. Não deve remover, alterar, cobrir ou ocultar qualquer confidencialidade, segredo comercial, marca, patente, direito de autor ou outro aviso de propriedade ou outras marcas ou desenhos de identificação de qualquer componente do Programa Licenciado.
4. Garantia.
A TI não garante que os Programas Licenciados estejam livres de erros ou que satisfaçam os seus requisitos específicos. OS PROGRAMAS LICENCIADOS SÃO FORNECIDOS "TAL COMO ESTÃO" E COM TODAS AS FALHAS. A TI E OS SEUS LICENCIADORES NÃO FAZEM QUALQUER GARANTIA OU REPRESENTAÇÃO, EXPRESSA, IMPLÍCITA OU ESTATUTÁRIA, RELATIVAMENTE AOS PROGRAMAS LICENCIADOS, INCLUINDO, MAS NÃO SE LIMITANDO A, QUAISQUER GARANTIAS IMPLÍCITAS DE COMERCIABILIDADE OU ADEQUAÇÃO PARA UM DETERMINADO FIM, SEGURANÇA OU NÃO VIOLAÇÃO DE QUAISQUER PATENTES DE TERCEIROS, DIREITOS DE AUTOR, SEGREDOS COMERCIAIS OU OUTROS DIREITOS DE PROPRIEDADE INTELECTUAL. 5. Limitações.
EM CASO ALGUM A TI OU OS SEUS LICENCIADORES SERÃO RESPONSÁVEIS POR QUAISQUER DANOS INDIRECTOS, ACIDENTAIS, PUNITIVOS OU CONSEQUENTES, LUCROS CESSANTES, PERDA DE UTILIZAÇÃO OU DE DADOS, OU INTERRUPÇÃO DE NEGÓCIOS, QUER OS ALEGADOS DANOS ESTEJAM ETIQUETADOS COMO DELITO CIVIL, CONTRATO OU INDEMNIZAÇÃO.
EM HIPÓTESE ALGUMA HAVERÁ OU A RESPONSABILIDADE DO SEU LICENCIADOR PELO PRESENTE ACORDO OU POR SEU USO DOS PROGRAMAS LICENCIADOS, OU QUAISQUER DADOS INVOLVE DADOS DO ESTUDANTE COLHIDOS POR TEMPO, EXCEPTO O GRANDE (i) DOS MONTANTES PAGOS POR VOCÊ PELOS PROGRAMAS LICENCIADOS OU (ii) CINCO DÓLARES DOS EUA (US$50).
Algumas jurisdições não permitem a exclusão ou limitação de danos incidentais ou consequentes ou limitação sobre a duração de uma garantia implícita, pelo que a limitação acima referida pode não se aplicar ao Utilizador.
6. O seu Conteúdo e Indemnização.
Você representa e garante qualquer conteúdo que utilize com o Programa Licenciado ou, se aplicável, encaminhar para serviços Google, tais como Google Classroom e Google Drive, não infringirá os direitos de propriedade intelectual de terceiros. Além disso, o utilizador representa e garante que tal conteúdo cumprirá os termos aplicáveis de terceiros, incluindo, sem limitação, os requisitos do Google relacionados com o conteúdo que encaminha para os serviços do Google. O utilizador concorda em indemnizar e isentar a TI (incluindo os seus agentes e representantes) de quaisquer danos, custos, perdas e/ou responsabilidades resultantes do incumprimento do utilizador dos termos e disposições do presente Acordo. Esta secção sobreviverá a qualquer rescisão ou expiração do presente Acordo.
7. Rescisão.
Sem prejuízo de quaisquer outros direitos, se violar os termos do presente Acordo, a TI poderá pôr termo ao seu direito de utilizar o Programa Licenciado. Exceto para as licenças concedidas acima, todas as disposições do presente Contrato sobreviverão à expiração ou rescisão do presente Contrato.
8. Controlo das exportações.
O Programa Licenciado pode estar sujeito a controlos e sanções de exportação dos EUA. O utilizador concorda em cumprir todas as leis e regulamentos aplicáveis. O Programa Licenciado não pode ser exportado, reexportado, transferido, ou revendido para destinos embargados, sancionados, ou restritos, pessoas ou entidades (colectivamente, "Pessoas Negadas"). As Pessoas Negadas incluem, mas não estão limitadas às pessoas ou entidades listadas na Lista de Pessoas Negadas do Departamento de Comércio, na Lista de Entidades do Departamento de Comércio, na Lista de Partes Legalmente Devedoras da Direcção dos Controlos Comerciais da Defesa, e na Lista de Cidadãos Especialmente Designados do Departamento do Tesouro. 9. Legislação aplicável.
Este Acordo será regido e interpretado ao abrigo das leis do Estado do Texas (EUA), sem referência aos princípios de conflito de leis. Se um tribunal de jurisdição competente considerar qualquer disposição do Acordo inaplicável, essa disposição será aplicada na medida do possível para realizar a intenção das partes, e o restante do Acordo continuará em pleno vigor e efeito. O presente Acordo não será regido pela Convenção das Nações Unidas sobre Contratos de Venda Internacional de Mercadorias, nem pela Lei sobre Transacções Uniformes de Informação Informática (UCITA). As partes acordam que a jurisdição não exclusiva para qualquer litígio resultante ou relacionado com o presente Acordo recai sobre os tribunais localizados no Estado do Texas. Não obstante o precedente, qualquer sentença poderá ser executada em qualquer tribunal dos Estados Unidos ou estrangeiro, e qualquer das partes poderá solicitar uma medida cautelar em qualquer tribunal dos Estados Unidos ou estrangeiro. O incumprimento pela TI da aplicação de qualquer disposição do presente Acordo não será considerado uma renúncia à aplicação futura dessa ou de qualquer outra disposição ou de qualquer outro acordo que possa existir entre as partes.
10. Língua aplicável
Sempre que a TI lhe tenha fornecido uma tradução da versão em língua inglesa do presente Acordo, Concorda que a tradução é fornecida apenas para sua conveniência e que a versão em língua inglesa irá reger e controlar. Se houver alguma contradição entre a versão em língua inglesa do presente Acordo e uma tradução, a versão em língua inglesa prevalece.
11. Acordo integral.
Este é o acordo completo entre o Utilizador e a TI, e este Acordo substitui qualquer acordo prévio entre as partes relacionado com o objecto do presente Acordo. Nenhuma alteração ou modificação do presente Acordo entrará em vigor a menos que seja feita por escrito e assinada por um representante devidamente autorizado da TI. Los Programas bajo Licencia son licenciados, no vendidos, por Texas Instruments Incorporated (“TI”) y/o cualquier licenciante aplicable (colectivamente llamado “Licenciante”) bajo la licencia otorgada a continuación. Si al aceptar este Contrato, Usted obtiene acceso a otro Material con Licencia, dicho material se incluirá en el manifiesto de software aplicable proporcionado con el Programa con Licencia. LICENCIA DE USUARIO ÚNICO
Para la Licencia de Usuario Único, el Otorgante le concede una licencia personal, no exclusiva e intransferible para utilizar (y descargar e instalar, si corresponde) el Programa con Licencia en soportado Dispositivos de hardware. Queda estrictamente prohibido el uso virtual (es decir, el uso simultáneo del Programa con Licencia por parte de dos o más usuarios). Puede realizar una copia del Programa con Licencia con fines de copia de seguridad y archivado. Usted se compromete a reproducir todos los avisos de derechos de autor y propiedad que aparecen en el software y en los medios digitales. A menos que se indique expresamente lo contrario en la documentación, no podrá duplicar dicha documentación.
Términos adicionales aplicables a todas las licencias:
1. Restricciones.
No puede realizar montaje inverso ni compilación inversa, ni intentar derivar el código fuente del Programa con Licencia. No puede modificar, publicar, revelar, mostrar, proporcionar, transferir, vender, alquilar, arrendar o poner a disposición el Programa con Licencia o cualquier parte del mismo. No podrá transferir, redistribuir ni sublicenciar los Programas con Licencia excepto en los casos expresamente permitidos en este Acuerdo, y si vende su Dispositivo de hardware a un tercero, deberá eliminar el Programa con Licencia del Dispositivo de hardware antes de hacerlo. 2. Soporte y cambios.

NINGUNA INFORMACIÓN ESCRITA U ORAL O CONSEJO PROPORCIONADO POR TI CREARÁ NINGUNA GARANTÍA.
5. Limitaciones.
TI O SUS LICENCIANTES NO SERÁN RESPONSABLES EN NINGÚN CASO DE NINGÚN DAÑO INDIRECTO, INCIDENTAL, PUNITIVO O CONSECUENTE, PÉRDIDA DE BENEFICIOS, PÉRDIDA DE USO O DE DATOS, O INTERRUPCIÓN DEL NEGOCIO, YA QUE SEAN LOS DAÑOS SUJETOS ESTÉN O NO ETIQUETADOS EN EL CONTRATO O INDEMNIMIDAD.
EN NINGÚN CASO LA RESPONSABILIDAD AGREGADA DE TI O DE SUS OTORGANTES DE LICENCIAS BAJO ESTE ACUERDO O DERIVADA DEL USO QUE Usted HAGA DE LOS PROGRAMAS LICENCIADOS, O CUALQUIER VIOLACIÓN DE DATOS QUE IMPLIQUE DATOS DE ESTUDIANTES RECOPILADOS POR TI, EXCEDE EL MAYOR DE (I) LAS CANTIDADES PAGADAS POR Usted POR LOS PROGRAMAS LICENCIADOS O (II) CINCUENTA DÓLARES ESTADOUNIDENSES (50 DÓLARES ESTADOUNIDENSES).
Algunas jurisdicciones no permiten la exclusión o limitación de daños incidentales o consecuentes o la limitación de la duración de una garantía implícita, por lo que la limitación anterior puede no aplicarse a usted.
6. Su contenido e indemnización.
Usted declara y garantiza que cualquier contenido que Usted utilice con el Programa con Licencia o, si procede, que envía a servicios de Google como Google Classroom y Google Drive no infringirá los derechos de propiedad intelectual de terceros. 7. Rescisión.

9. Ley aplicable.
Este Acuerdo se regirá e interpretará según las leyes del Estado de Texas (EE.UU.), sin referencia a los principios de conflicto de leyes. Si un tribunal de jurisdicción competente encuentra que alguna disposición del Acuerdo no es aplicable, dicha disposición se aplicará en la medida de lo posible para llevar a cabo la intención de las partes, y el resto del Acuerdo continuará en pleno vigor y efecto. Este Acuerdo no se regirá por la Convención de las Naciones Unidas sobre Contratos de Compraventa Internacional de Mercaderías ni por la Ley Uniforme de Transacciones de Información Informática (UCITA). Las partes convienen que la jurisdicción no exclusiva para cualquier disputa que surja de o se relacione con este Acuerdo se encuentra dentro de los tribunales ubicados en el Estado de Texas. Sin perjuicio de lo anterior, cualquier sentencia puede ser ejecutada en cualquier tribunal de Estados Unidos o extranjero, y cualquiera de las partes puede solicitar medidas cautelares en cualquier tribunal de Estados Unidos o extranjero. El incumplimiento por parte de TI de cualquier disposición de este Acuerdo no se considerará una renuncia a la aplicación futura de esa o cualquier otra disposición o cualquier otro acuerdo que pueda existir entre las partes.
10. Idioma aplicable.
Cuando TI le haya proporcionado a Usted una traducción de la versión en inglés de este Contrato, Usted acepta que la traducción se proporciona únicamente para Su comodidad y que la versión en inglés regirá y controlará. Si existe alguna contradicción entre la versión en inglés de este Acuerdo y una traducción, la versión en inglés será autoritaria y de control.
11. Acuerdo completo.Este es el acuerdo completo entre Usted y TI, y este Acuerdo reemplaza cualquier acuerdo anterior entre las partes relacionado con el objeto de este Acuerdo. Ninguna enmienda o modificación de este Acuerdo será efectiva a menos que se haga por escrito y esté firmada por un representante debidamente autorizado de TI. LICENS FÖR EN ANVÄNDARE
Licensgivaren dig en personlig, icke-exklusiv och icke-överlåtbar licens för att använda (och för att ladda ner och installera, om tillämpligt) det licensierade programmet på hårdvaruenhet som stöds. Virtuell användning (dvs. samtidig användning av det licensierade programmet av två eller flera användare) är strängt förbjuden. Du får göra en kopia av det licensierade programmet för säkerhetskopiering och arkivering. Du samtycker till att återge alla upphovsrättsliga och äganderättsliga meddelanden som visas i programvaran och på media. Om inte annat uttryckligen anges i dokumentationen får du inte kopiera denna dokumentation.
Ytterligare villkor gäller för alla licenser:
1. Begränsningar.
Du får inte göra en omvänd montering eller kompilering eller försöka ta fram källkoden till det licensierade programmet. Du får inte ändra, publicera, avslöja, visa, tillhandahålla, överföra, sälja, hyra ut, leasa eller på annat sätt göra det licensierade programmet eller någon del därav tillgängligt. Du får inte överföra, omdistribuera eller underlicensiera de licensierade programmen, utom i de fall som uttryckligen tillåts i detta avtal. Om du säljer din hårdvaruenhet till en tredje part måste du ta bort det licensierade programmet från hårdvaruenheten innan du säljer hårdvaruenheten. Licensgivaren förbehåller sig alla rättigheter i och till det licensierade programmet som inte uttryckligen beviljas dig enligt detta avtal.
2. Stöd och förändringar.
Support för det Licensierade programmet tillhandahålls genom att kontakta TI på https://education.ti.com/ti-cares. TI förbehåller sig rätten att när som helst avbryta eller göra korrigeringar, förbättringar och andra ändringar i det Licensierade programmet efter eget gottfinnande.
3. Upphovsrätt.
Det Licensierade programmet omfattas av upphovsrätt och andra tillämpliga immateriella egendomsskydd. Du får inte ta bort, ändra, täcka eller dölja någon konfidentialitet, affärshemlighet, varumärke, patent, upphovsrätt eller annan patentskyddad information eller andra identifieringsmärken eller någon design från någon del av det Licensierade programmet.
4. Garanti.
TI garanterar inte att de Licensierade programmen kommer att vara felfria eller uppfylla dina specifika krav. DE LICENSIERADE PROGRAMMEN TILLHANDAHÅLLS ”I BEFINTLIGT SKICK” OCH MED ALLA FEL. 5. Begränsningar.
Under inga omständigheter kommer TI:s eller dess licensgivares samlade ansvar enligt detta avtal eller till följd av din användning av de licensierade programmen, eller eventuella dataintrång som rör ELEVuppgifter som samlats in av TI, att överstiga det största av i) de belopp som du betalat för de licensierade programmen eller ii) femtio amerikanska dollar (50 US-dollar).
Vissa jurisdiktioner tillåter inte undantag eller begränsning av tillfälliga skador eller följdskador eller begränsning av hur länge en underförstådd garanti varar, så ovanstående begränsning kanske inte gäller dig.
6. Ditt innehåll och skadestånd.
Du försäkrar och garanterar att allt innehåll som du använder med det licensierade programmet eller, i tillämpliga fall, som du leder in i Googles tjänster, t.ex. Google Classroom och Google Drive, inte gör intrång i andras immateriella rättigheter. Du försäkrar och garanterar vidare att sådant innehåll kommer att följa tillämpliga villkor från tredje part, inklusive, utan begränsning, Googles krav i samband med innehåll som du dirigerar till Googles tjänster. Du samtycker till att hålla TI (inklusive dess ombud och representanter) skadeslösa från alla skador, kostnader, förluster och/eller skulder som uppstår till följd av att du inte följer villkoren och bestämmelserna i detta avtal. Detta avsnitt kommer att fortsätta att gälla även efter uppsägning eller upphörande av detta avtal.
7. Uppsägning.
Om Du bryter mot villkoren i detta avtal kan TI, utan att det påverkar andra rättigheter, säga upp Din rätt att använda det Licensierade programmet. Med undantag för licenser som beviljats ovan skall alla bestämmelser i detta avtal fortsätta att gälla efter att avtalet har löpt ut eller sagts upp.
8. Exportkontroll.
Det licensierade programmet kan vara föremål för amerikanska exportkontroller och sanktioner. Du samtycker till att följa alla tillämpliga lagar och förordningar. Det licensierade programmet får inte exporteras, återexporteras, överföras eller säljas vidare till destinationer, personer eller enheter som är föremål för embargo, sanktioner eller restriktioner från USA (gemensamt "nekade personer"). Nekade personer inkluderar, men är inte begränsade till, de individer eller enheter som anges på Handelsdepartementets lista över nekade personer (handelsdepartementets enhetslista, direktoratet för kontroll av försvarshandel) med dess förteckning över statligt spärrade parter och Finansdepartementets lista över särskilt utpekade medborgare. Genom att använda det Licensierade programmet intygar och garanterar Du att Du inte befinner Dig i något sådant land eller på någon sådan lista och att Du inte kommer att tillhandahålla Licensprogrammet till personer som nekas. Du får inte använda eller på annat sätt exportera eller återexportera det Licensierade programmet, förutom vad som är tillåtet enligt amerikansk lag och lagarna i den jurisdiktion där det Licensierade programmet erhölls. Du samtycker också till att Du inte kommer att använda det Licensierade programmet för några ändamål som är förbjudna enligt amerikansk lag, inklusive och utan begränsning, utveckling, design, tillverkning eller produktion av kärnvapen, kemiska eller biologiska vapen eller missilteknik. För ytterligare information, se del 744 i USA:s regler för exportföreskrifter (U.S. Export Administration Regulations).
9. Gällande lag.
Detta avtal kommer att regleras av och tolkas enligt lagarna i delstaten Texas (USA) utan hänvisning till principer om lagkonflikter. Om en behörig domstol finner att någon bestämmelse i avtalet inte kan verkställas, kommer denna bestämmelse att verkställas i största möjliga utsträckning för att verkställa parternas avsikter och resten av avtalet ska fortsätta att gälla fullt ut. Detta avtal ska inte regleras av Förenta nationernas konvention om avtal om internationell försäljning av varor eller av den enhetliga lagen om datainformationstransaktioner (Uniform Computer Information Transactions Act UCITA). Parterna är överens om att icke-exklusiv jurisdiktion för alla tvister som uppstår på grund av eller i samband med detta avtal ligger hos domstolarna i delstaten Texas. Oaktat ovanstående kan varje dom verkställas i vilken amerikansk eller utländsk domstol som helst och endera parten kan söka förelägganden i någon amerikansk eller utländsk domstol. Underlåtenhet från TI att genomdriva någon bestämmelse i detta avtal ska inte anses vara ett avstående från framtida verkställighet av den eller någon annan bestämmelse eller något annat avtal som kan finnas mellan parterna.
10. Styrande språk.
Om TI har försett Dig med en översättning av den engelska versionen av detta avtal samtycker Du till att översättningen tillhandahålls endast för att underlätta läsandet och att den engelska versionen kommer att vara styrande och kontrollerande. Om det finns någon motsättning mellan den engelska språkversionen av detta avtal och en översättning kommer den engelska språkversionen att vara den som gäller.
11. Hela avtalet.
Detta är hela avtalet mellan Dig och TI, och detta avtal ersätter alla tidigare avtal mellan parterna som är relaterade till ämnet för detta avtal. Ingen ändring eller modifiering av detta avtal är giltig om det den inte är skriftlig och undertecknad av en vederbörligen bemyndigad representant för TI. Du garanterar och intygar att Du har erhållit alla tillstånd och andra tillämpliga medgivanden som krävs för att Du ska kunna ingå detta avtal.

If distribution of object code is made by offering access to copy from a designated place, then offering equivalent access to copy the source code from the same place satisfies the requirement to distribute the source code, even though third parties are not compelled to copy the source along with the object code.

JAI I. LICENSE GRANTS, TERMS AND RESTRICTIONS
1.0 General License Terms. This Java Distribution License ("JDL") is between Sun Microsystems, Inc. ("Sun") and You where "You" means the individual or legal entity exercising rights under this JDL. "Technology" means the following as provided under this JDL: (i) the source code and binary code from the Reference Implementation ("RI") of the JavaTM Advanced Imaging version 1.1.x Specification (the "Specification") and related documentation, all as revised or upgraded and made available hereunder; and (ii) the associated technology compatibility kit ("TCK"). The TCK contains the TCK documentation, user's guide ("TCK User's Guide"), test tools and test suite associated with the Specification, as revised or upgraded by Sun. The TCK is provided so that You may determine if Your implementation is compliant with the Specification. "Modifications" means any (i) change or addition to or derivative of the Technology; or (ii) new source or object code implementing the Specification for the Technology. "Commercial Use" means: (i) Your use of the RI and/or Modifications as part of a Compatible Implementation within Your business or organization, but only by Your employees or agents; and/or (ii) any use or distribution, directly or indirectly by You of the RI and/or Modifications as part of a Compatible Implementation to any third party, alone or bundled with any other software or hardware, for direct or indirect commercial or strategic gain or advantage. By Your use or distribution of the Technology and Modifications, You agree to the terms of this JDL.
2.0 License Grants, Restrictions and Termination. 2.1 Commercial Use and Internal Deployment License Grants. Subject to the terms of this JDL, Sun grants to You, to the extent of Sun's licensable copyrights, patents and trade secrets in the RI, a limited, non-exclusive, non-transferable, worldwide and royalty-free license to modify, compile, reproduce, distribute, internally use and internally deploy code and related documentation from the RI and/or Modifications for Commercial Use, but only as part of Your own Compatible Implementation (as defined below), and only if You make such distributions as follows: (i) Source Code. Your TCK license grant hereunder is expressly conditioned upon your continued adherance to the following restrictions: (i) You may not sublicense or distribute the TCK to any third party except for any specific TCK code files identified as redistributables in the TCK User's Guide ("Redistributables"), but only: (a) as part of a TCK Adaptor accompanying a Compatible Implementation (where a "TCK Adaptor" means a program that effects interoperability between the TCK and the Compatible Implementation); and (b) pursuant to a license agreement that protects Sun's interests consistent with the terms of the JDL; (ii) You may not create derivative works of the TCK nor of any of its components except for the Redistributables in a TCK Adaptor; (iii) You may not disassemble or decompile binary portions of the TCK's test suites or test tools or otherwise attempt to derive the source code from such binary portions; (iv) You may not develop other test suites intended to validate compatibility with the Specification to which the TCK licensed hereunder corresponds; (v) You may not use the TCK to test a third party's product; (vi) You may not make Commercial Use of code which implements any portion of the Specification unless such code is included in a Compatible Implementation; (vii) You may disclose Test Reports (where "Test Reports" means those reports generated by the TCK which identify only configuration information and the status of individual or aggregate test executions) for an implementation which You are attempting to certify in accordance with the terms of this JDL for the sole purpose of making Your implementation a Compatible Implementation, but you may not make any claims of comparative compatibility nor disclose any other TCK testing information to any party. For example, You cannot claim that Your implementation is "nearly compatible" or "98% compatible." When You share Test Reports in any public forum, including mailing lists, marketing material or press releases, and Your implementation is not a Compatible Implementation, You must state that Your implementation is "not compatible;" and (viii) You will protect the TCK as confidential information of Sun and, except as expressly authorized herein, You may not disclose the TCK to any third party. This obligation of confidentiality with respect to the TCK will survive any termination or expiration of this JDL. 2.3 Term and Termination. This JDL shall have an initial term of three (3) years after your acceptance of this JDL and shall thereafter automatically renew for additional one year terms unless either party provides notice to the other party sixty (60) days prior to an anniversary date. The license grants of this JDL, are expressly conditioned upon Your not acting outside their scope, and Your continued compliance with the material provisions of this JDL. All license grants under this JDL will automatically and immediately be revoked without notice if You fail to so comply. Upon termination or expiration of this JDL, You must discontinue all use and distribution of the Technology and any Compatible Implementation licensed under this JDL. All sublicenses You have properly granted hereunder shall survive termination or expiration of Your rights under the JDL. Provisions which should, by their nature, remain in effect after termination or expiration shall survive, including, without limitation, the provisions of Article II (General Terms) and the TCK confidentiality obligations under this JDL. 2.4 General License Restrictions. Some portions of the Technology are provided with notices and/or open source or other licenses from other parties which govern the use of those portions. Your use or distribution of encryption technology contained within the Technlogy is subject to all applicable governmental regulations of the United States of America and the country where the Technology is deployed. You agree to comply with the U.S. export controls and trade laws of other countries that apply to the Technology and Compatible Implementations. You acknowledge that the Technology is not designed, licensed or intended for use in the design, construction, operation or maintenance of any nuclear facility. Other than the rights granted herein, Sun retains all rights, title, and interest in the Technology.
3.0 Compatibility and Use of the TCK. 3.1 Compatible Implementation TCK Requirements. Your use of the RI and/or Modifications as part of an implementation of the Specification is a "Compatible Implementation" if the implementation meets the following requirements: 3.1.1 A Compatible Implementation must comply with the full Specification, including all its required interfaces and functionality; 3.1.2 A Compatible Implementation must either: (i) pass the most current compatibility requirements (as defined by the TCK User's Guide) which were made available by Sun one hundred twenty (120) days before first commercial shipment ("FCS") of each version of the Compatible Implementation (eg. if Your FCS was December 31, 2003, You must have passed the most current version of the TCK as of September 2, 2003); or (ii) at Your option, pass all the compatibility requirements of a newer version of the TCK and its associated TCK User's Guide; 3.1.3 A Compatible Implementation may not modify the functional behavior of the "Java Classes" which means the specific class libraries associated with the Technology; and 3.1.4 A Compatible Implementation may not modify, subset, superset or otherwise extend the Licensor Name Space, nor include any public or protected packages, classes, Java interfaces, fields or methods within the Licensor Name Space other than those required and/or authorized by the Specification. "Licensor Name Space" means the public class or interface declarations whose names begin with "java", "javax", "com.sun" or their equivalents in any subsequent naming convention adopted by Sun through the Java Community Process, or any recognized successors or replacements thereof. 3.2 Self-Certification for Compatibility. You shall self-certify that Your Compatible Implementation passes the applicable TCK as set forth above, if and when Your Compatible Implementation in fact does so, provided that: 3.2.1 If Sun policy (as communicated to You by Sun) also requires verification of compatibility for Your Compatible Implementation then You shall, prior to the FCS of the Compatible Implementation, submit verification of compatibility to Sun or to an independent test facility designated by Sun. If such verification is by an independent test facility, then the reasonable costs of such activity (including any applicable fees) shall be at Your expense. Sun may publish or otherwise disclose Your test results. 3.2.2 Upon thirty (30) days written notice by Sun, and no more than two (2) times per calendar year, You shall permit Sun or its authorized representative to inspect and test any Compatible Implementation which has been self-certified per this subsection 3.2 to ensure that such Compatible Implementation meets the compatibility and other requirements for a Compatible Implementation as set forth herein. The reasonable costs of such inspection shall be at Sun's expense; provided, however, that You shall reimburse Sun for such costs if the inspection reveals that the Compatible Implementation does not meet such requirements and these deficiencies are not cured within thirty (30) days.
4.0 Fees and Royalties. There are no fees or royalites associated with the license grants for the Technology licensed under this JDL. II.
GENERAL TERMS
5.0 No Warranty. THE TECHNOLOGY AND/OR MODIFICATIONS ARE PROVIDED "AS IS", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED OR STATUTORY INCLUDING, WITHOUT LIMITATION, WARRANTIES THAT THE TECHNOLOGY AND/OR MODIFICATIONS ARE FREE OF DEFECTS, MERCHANTABLE, FIT FOR A PARTICULAR PURPOSE, OR NON-INFRINGING OF THIRD PARTY RIGHTS. YOU AGREE THAT YOU BEAR THE ENTIRE RISK IN CONNECTION WITH YOUR USE AND DISTRIBUTION OF ANY AND ALL TECHNOLOGY AND/OR MODIFICATIONS UNDER THIS JDL. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF IMPLIED WARRANTIES SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU
6.0 Infringement Claims. Sun may terminate this JDL, in Sun's sole discretion, upon any action initiated by You alleging that the use or distribution of the Technology and/or Modifications by Sun, or any other licensee of the Technology and/or Modifications, infringes a patent owned or controlled by You. In addition, if any portion of, or functionality implemented by, the Technology becomes the subject of a claim or threatened claim of infringement ("Affected Materials"), Sun may, at its sole option, (i) attempt to procure the rights necessary for You to continue using the Affected Materials, (ii) modify the Affected Materials so that they are no longer infringing, or (iii) immediately suspend Your rights to use and distribute the Affected Materials under this JDL by providing notice of suspension to You in a reasonable manner, and refund toYou the amount, if any, having then actually been paid by You to Sun under this JDL, on a straight line, five year basis .
7.0 Limitation of Liability. Sun will be not be liable for any claims relating to, or arising out of, this JDL, whether in tort, contract or otherwise, in an amount in excess of any annual license fees You paid to Sun for the Technology. IN NO EVENT WILL SUN BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES IN CONNECTION WITH OR ARISING OUT OF THIS JDL (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, USE, DATA, OR ECONOMIC ADVANTAGE OF ANY SORT), HOWEVER IT ARISES AND UNDER ANY THEORY OF LIABILITY (including negligence), REGARDLESS OF WHETHER OR NOT SUN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. FURTHERMORE, LIABILITY UNDER THIS JDL SHALL BE SO LIMITED AND EXCLUDED, NOTWITHSTANDING FAILURE OF THE ESSENTIAL PURPOSE OF ANY REMEDY. TO THE EXTENT ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES YOU INCUR FOR ANY REASON WHATSOEVER CANNOT BE DISCLAIMED THEN THE ENTIRE LIABILITY OF SUN UNDER ANY PROVISION OF THIS JDL, AND YOUR EXCLUSIVE REMEDY FOR ANY SUCH DAMAGES, SHALL BE LIMITED TO THE GREATER OF THE AMOUNT ACTUALLY PAID BY YOU FOR THE TECHNOLOGY OR FIVE HUNDRED US DOLLARS, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF INCIDENTALS OR CONSEQUENTIAL DAMAGES SO THE ABOVE EXCLUSION AND LIMITATION MAY NOT APPLY TO YOU.
8.0 Support. Sun does not provide any support for the Technology or the TCK to either You or Your customers under this JDL. Support for the TCK is provided under a separate TCK master support agreement. If You desire support for the RI, You may contact Sun. You are solely reponsible for providing all support to Your customers with respect to the Technology, TCK, Modifications and/or Compatible Implementation.
9.0 Marketing and Press Announcements. Your initial press announcement concerning execution of this JDL must be reviewed and approved by Sun prior to its release. You hereby authorizes Sun to include You in a published list of licensees of the Technology. Sun shall also be authorized to use Your name in advertising, marketing collateral, and customer success stories prepared by or on behalf of Sun for the Technology subject to Your prior approval, such approval not to be unreasonably withheld or delayed.
10.0 Notices. All notices required by this JDL must be in writing. Sun shall deliver notice to You via either e-mail or by physical mail based on the information You provided to Sun when you accepted this JDL. Notices by You to Sun will be effective only upon receipt by Sun at the following physical addresses: Sun Microsystems, Inc., 4150 Network Circle, Santa Clara, California 95054, Attn.: Sun Software VP of Sales, cc: General Counsel, cc: Product Law Legal Department or to such different address as Sun provides on the Technology Site for such purpose.
11.0 Proprietary Rights Notices and Branding Requirements. There are no specific branding requirements associated with the Technology under this JDL. You may not remove any copyright notices, trademark notices or other proprietary legends of Sun or its suppliers contained on or in the Technology, including any notices of licenses for open source components. You agree to comply with the Sun Trademark and Logo Usage Requirements currently located at http://www.sun.com/policies/trademarks. Except as provided in this JDL, no right, title or interest to Sun's trademarks, brands or logos is granted herein.
12.0 U.S. Government End Users. The Technology and Modifications are a "commercial item," as that term is defined in 48 C.F.R. 2.101 (Oct. 1995), consisting of "commercial computer software" and "commercial computer software documentation," as such terms are used in 48 C.F.R. 12.212 (Sept. 1995). Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4 (June 1995), all U.S. Government End Users acquire Technology and/or Modifications with only those rights set forth herein. You agree to pass this notice to Your licensees.
13.0 Miscellaneous. This JDL is governed by the laws of the United States and the State of California, as applied to contracts entered into and performed in California between California residents. The relationship created under this JDL is that of licensor and licensee and does not create any other relationship such as a partnership, franchise, joint venture, agency or employment relationship between the parties. This JDL may not be assigned or transferred by either party without the prior written consent of the other party, which consent shall not be unreasonably withheld or delayed, except that Sun may assign: (i) to an affiliated company, or (ii) in the event of a merger, acquisition or sale of all or substantially all of the assets of Sun. Any express waiver or failure to exercise promptly any right under this Agreement will not create a continuing waiver nor any expectation of non-enforcement. The disclaimer of warranties and limitations of liability constitute an essential basis of the bargain in this JDL.
