SOFTWARE DATA POLICY: Under our Software Data Policy, Texas Instruments only collects personal data necessary to associate a user account with an active license, and not for sale, marketing or advertising purposes. TI’s personal data collection related to the Licensed Program consists of directory-type information such as student name, email address/username and password.
IMPORTANT – By using the Licensed Program You agree to abide by the Texas Instruments Online Terms of Use and the provisions of this License Agreement (the “Agreement”). If You use API Services, for example Google Single Sign-on or Microsoft Single Sign-on, to access an account to gain access to Licensed Program, You are also subject to the applicable APIs Terms of Service (and any other applicable terms) to the extent they pertain to Your activities.
Please read these documents carefully. If You do not agree to these terms, do not use the Licensed Program.
You confirm either: (1) that You have reached the age of 18; or (2) You are 13 or older but younger than 18 (“Minor”), that You have reviewed these terms with Your parent or guardian, and that You and Your parent or guardian understand and consent to these terms. If you are a parent or guardian of a Minor who is using the License Program, you accept and agree to (i) supervise the Minor’s use of the Licensed Program; (ii) assume all risks and liability associated with the Minor’s use of the Licensed Program: (iii) ensure the accuracy and truthfulness of all information submitted by you or the Minor; and (iv) assume responsibility and are bound by these terms for the Minor’s access and use of the License Program.

For Multi-User Licenses: Hardware Devices assigned to the Site and owned or controlled by an Institution and/or teacher-owned or student-owned Hardware Devices for teacher or enrolled student use at the Site. Each such Hardware Device is an Authorized Device. |

“You” or “Your” means You personally if You will exercise the rights granted herein for Your own benefit, but it means Your Institution, if You are entering into this Agreement to exercise the rights granted herein for the benefit of such Institution. |
Licensed Programs are licensed, not sold, by Texas Instruments Incorporated (“TI”) and/or any applicable licensors (collectively called “Licensor”) under the license granted below. If by accepting this Agreement, You gain access to Other Licensed Material, that material will be listed in the applicable software manifest provided with the Licensed Program. Your use of the Other Licensed Material is subject to the applicable other licensing terms, acknowledgements, and disclaimers as specified in the applicable software manifest and/or identified or included with the Other Licensed Material in the software bundle. For clarification, this Agreement does not limit Your rights under, or grant You rights that supersede, the terms of any applicable license agreement for the Other Licensed Material.
Following terms apply based on the license type purchased:
SINGLE USER SUBSCRIPTION LICENSE
For the Single User Subscription License, upon Your receipt from TI of a software activation key for the Licensed Program, Licensor grants to You a personal, non-exclusive, non-transferable license to use (and to download and install, if applicable) the Licensed Program on supported Hardware Devices for the Subscription Period. Virtual use (i.e., simultaneous use of the Licensed Program by two or more users) is strictly prohibited. You may make one copy of the Licensed Program for backup and archival purposes. Unless a renewal of the subscription has been purchased, at the conclusion of the Subscription Period the Licensed Program must be removed from the Hardware Device(s) on which it was installed. In such case, You warrant that the removal will be performed and will so certify in writing to TI, if requested. You agree to reproduce all copyright and proprietary notices shown in the software and on the media. Unless otherwise expressly stated in the documentation, You may not duplicate such documentation.
MULTI-USER SUBSCRIPTION LICENSE
For the Multi-User Subscription License, Licensor grants to You a non-exclusive, non-transferable license to use (and to download and install, if applicable) the Licensed Program on Authorized Devices. The Multi-User Subscription License grants the right to use the Licensed Program to the number of authorized students and faculty members of the educational institution making use of an Authorized Device on which the Licensed Program is rightfully installed under this Agreement for the Subscription Period.
If the applicable Subscription Period has not already expired, You warrant You will make all reasonable efforts to remove the Licensed Program from student-owned Hardware Devices prior to such student’s graduation or becoming un-enrolled from the educational institution, whichever occurs first, and to inform such student of the termination of their right to use the Licensed Program as installed under this Agreement. You may make one copy of the software for backup and archival purposes. You agree to reproduce all copyright and proprietary notices shown in the software and on the media. Except as expressly stated herein or in the documentation, You may not duplicate such documentation. In cases where TI supplies the related documentation electronically, You may print a copy of the documentation for each Authorized Device. Each Authorized Device on which the Licensed Program is installed must be assigned to a Site. At the conclusion of the Subscription Period the Licensed Program will automatically be disabled.
Additional Terms Applicable to All Licenses:
TI reserves the right to audit Your use and installation of the Licensed Program to ensure Your compliance with the license granted to You. By accepting this Agreement, You agree to allow TI to conduct such an audit. In the event an audit reveals non-compliance with the license granted to You, TI may, in its sole discretion, (i) terminate Your license immediately, or (ii) invoice You for the amount You would have otherwise owed TI had You purchased the appropriate license. If TI elects to invoice You, You agree to pay TI the invoiced amount within thirty (30) days of the receipt of such invoice.
You may not reverse-assemble or reverse-compile, or attempt to derive the source code of the Licensed Program. You may not modify, publish, disclose, display, provide, transfer, sell, rent, lease or otherwise make available the Licensed Program or any portion thereof. You may not transfer, redistribute or sublicense the Licensed Programs except as expressly permitted in this Agreement, and if you sell your Hardware Device to a third party, You must remove the Licensed Program from the Hardware Device before doing so. Licensor reserves all rights in and to the Licensed Program not expressly granted to You under this Agreement.
Support for the Licensed Program is provided by contacting TI at https://education.ti.com/ti-cares. TI reserves the right to discontinue or to make corrections, enhancements, improvements, and other changes to the Licensed Program at any time in its sole discretion.
The Licensed Program is subject to copyright and other applicable intellectual property protections. You must not remove, alter, cover, or obscure any confidentiality, trade secret, trade mark, patent, copyright or other proprietary notice or other identifying marks or designs from any component of the Licensed Program.
TI does not warrant that the Licensed Programs will be free from errors or will meet Your specific requirements. THE LICENSED PROGRAMS ARE PROVIDED “AS IS” AND WITH ALL FAULTS. TI AND ITS LICENSORS MAKE NO WARRANTY OR REPRESENTATION, EITHER EXPRESS, IMPLIED OR STATUTORY, REGARDING THE LICENSED PROGRAMS, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, SECURITY OR NON-INFRINGEMENT OF ANY THIRD-PARTY PATENTS, COPYRIGHTS, TRADE SECRETS OR OTHER INTELLECTUAL PROPERTY RIGHTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY TI WILL CREATE ANY WARRANTY.
IN NO EVENT SHALL TI OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOSS OF USE OR DATA, OR INTERRUPTION OF BUSINESS, WHETHER THE ALLEGED DAMAGES ARE LABELED IN TORT, CONTRACT OR INDEMNITY.
IN NO EVENT WILL TI’S OR ITS LICENSORS’ AGGREGATE LIABILITY UNDER THIS AGREEMENT OR ARISING OUT OF YOUR USE OF THE LICENSED PROGRAMS, OR ANY DATA BREACH INVOLVING STUDENT DATA COLLECTED BY TI, EXCEED THE GREATER OF (i) THE AMOUNTS PAID BY YOU FOR THE LICENSED PROGRAMS OR (ii) FIFTY U.S. DOLLARS (US$50).
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages or limitation on how long an implied warranty lasts, so the above limitation may not apply to You.
You represent and warrant any content You use with the Licensed Program or, if applicable, route into Google services such as Google Classroom and Google Drive will not infringe the intellectual property rights of others. You further represent and warrant such content will comply with applicable third-party terms including, without limitation, Google requirements related to content You route into Google services. You agree to indemnify and hold TI (including its agents and representatives) harmless against any damages, costs, losses, and/or liabilities arising out of Your non-compliance with the terms and provisions of this Agreement. This section will survive any termination or expiration of this Agreement.
Without prejudice to any other rights, if You violate the terms of this Agreement, TI may terminate Your right to use the Licensed Program. Except for licenses granted above, all provisions of this Agreement shall survive expiration or termination of this Agreement.
The Licensed Program may be subject to U.S. export controls and sanctions. You agree to comply with all applicable laws and regulations. Licensed Program may not be exported, re-exported, transferred, or resold to U.S. embargoed, sanctioned, or restricted destinations, persons or entities (collectively, “Denied Persons”). Denied Persons include, but are not limited to, those individuals or entities listed on the Commerce Department’s Denied Persons List, the Commerce Department’s Entity List, the Directorate of Defense Trade Controls’ List of Statutorily Debarred Parties, and the Treasury Department’s List of Specially Designated Nationals. By using the Licensed Program, You represent and warrant that You are not located in any such country or on any such list, and that You will not provide the License Program to any Denied Persons. You may not use or otherwise export or re-export the Licensed Program except as authorized by United States law and the laws of the jurisdiction in which the Licensed Program were obtained. You also agree that You will not use the Licensed Program for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture, or production of nuclear, chemical, or biological weapons or missile technology. For additional information, see Part 744 of the U.S. Export Administration Regulations.
This Agreement will be governed by and interpreted under the laws of the State of Texas (USA), without reference to conflict of laws principles. If a court of competent jurisdiction finds any provision of the Agreement unenforceable, that provision will be enforced to the maximum extent possible to effectuate the intent of the parties, and the remainder of the Agreement shall continue in full force and effect. This Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, or by the Uniform Computer Information Transactions Act (UCITA). The parties agree that non-exclusive jurisdiction for any dispute arising out of or relating to this Agreement lies within the courts located in the State of Texas. Notwithstanding the foregoing, any judgment may be enforced in any United States or foreign court, and either party may seek injunctive relief in any United States or foreign court. Failure by TI to enforce any provision of this Agreement shall not be deemed a waiver of future enforcement of that or any other provision or any other agreement that may be in place between the parties.
Where TI has provided You with a translation of the English language version of this Agreement, You agree that the translation is provided for Your convenience only and that the English language version will govern and control. If there is any contradiction between the English language version of this Agreement and a translation, the English language version will be authoritative and controlling.
This is the entire agreement between You and TI, and this Agreement supersedes any prior agreement between the parties related to the subject matter of this Agreement. No amendment or modification of this Agreement will be effective unless in writing and signed by a duly authorized representative of TI. You warrant and represent that You have obtained all authorizations and other applicable consents required empowering You to enter into this Agreement.

Les programmes sous licence sont concédés sous licence et non vendus par Texas instruments Incorporated (« TI ») et/ou tout autre donneur de licence applicable (collectivement appelé « Concédant ») en vertu de la licence accordée ci-dessous. Si, en acceptant le présent Contrat, Vous accédez à un autre contenu sous Licence, ce contenu sera répertorié dans le manifeste du logiciel applicable fourni avec le Programme sous licence. Votre utilisation de l'autre contenu sous Licence est soumise aux autres conditions de licence, reconnaissance et avis de non-responsabilité applicables, comme spécifié dans le manifeste du logiciel applicable et/ou identifié ou inclus avec l'autre contenu sous Licence dans l'ensemble de logiciels. Les conditions suivantes s'appliquent en fonction du type de licence acheté :
LICENCE D'ABONNEMENT UTILISATEUR UNIQUE
Pour la licence d'abonnement utilisateur unique, dès réception par TI d'une clé d'activation logicielle pour le Programme sous licence, le Concédant Vous accorde une licence personnelle, non exclusive et non transférable Vous permettant d'utiliser (et de télécharger et d'installer, le cas échéant) le Programme sous licence sur pris en charge périphériques matériels pendant la période d'abonnement. L'utilisation virtuelle (c'est-à-direl' utilisation simultanée du Programme sous licence par deux utilisateurs ou plus) est strictement interdite. Vous pouvez faire une copie du Programme sous licence à des fins de sauvegarde et d'archivage. À moins qu'un renouvellement de l'abonnement n'ait été acheté, à la fin de la période d'abonnement, le Programme sous licence doit être supprimé du ou des périphériques matériels sur lesquels il a été installé. Dans ce cas, Vous garantissez que la suppression sera effectuée et la certifiez par écrit à TI, si nécessaire. Vous acceptez de reproduire tous les avis de droits d'auteur et de propriété affichés dans le logiciel et sur le support. Sauf indication contraire expresse dans la documentation, Vous ne pouvez pas dupliquer cette documentation.
LICENCE D'ABONNEMENT MULTI-UTILISATEUR
Pour la licence d'abonnement multi-utilisateur, le Concédant Vous accorde une licence non exclusive et non transférable Vous permettant d'utiliser (et de télécharger et d'installer, le cas échéant) le Programme sur Périphériques autorisé. La licence d'abonnement multi-utilisateur accorde le droit d'utiliser le Programme sous licence à tout élève ou membre du corps enseignant de l'établissement scolaire utilisant un Périphérique autorisé sur lequel le Programme sous licence est installé à juste titre en vertu du présent Contrat pendant la période d'abonnement.
Si la période d'abonnement applicable n'a pas encore expiré, Vous garantissez que Vous essaierez de supprimer le Programme sous licence des Périphériques appartenant à un élève qui obtiendrait son diplôme ou qui ne serait plus inscrit dans l'établissement, selon la première éventualité, et d'informer cet élève de la résiliation de son droit d'utiliser le Programme sous licence tel qu'installé dans le cadre du présent Contrat. Vous pouvez faire une copie du logiciel à des fins de sauvegarde et d'archivage. Vous acceptez de reproduire tous les avis de droits d'auteur et de propriété affichés dans le logiciel et sur le support. Sauf mention expresse dans le présent document ou dans la documentation, Vous ne pouvez pas dupliquer cette documentation. Si TI fournit la documentation correspondante par voie électronique, Vous pouvez imprimer une copie de la documentation pour chaque Périphérique autorisé. Chaque Périphérique autorisé sur lequel le Programme sous licence est installé doit être affecté à un site. À la fin de la période d'abonnement, le Programme sous licence sera automatiquement désactivé.
Conditions supplémentaires applicables à toutes les licences :
TI se réserve le droit de vérifier votre utilisation et votre installation du Programme sous licence afin de s’assurer de la conformité à la licence qui Vous a été accordée. En acceptant le présent Contrat, Vous autorisez TI à effectuer un tel audit. Si un audit révèle une non-conformité à la licence qui Vous a été accordée, TI peut, à sa seule discrétion, (i) résilier votre licence immédiatement ou (ii) Vous facturer le montant que Vous auriez dû à TI si Vous aviez acheté la licence appropriée. Si TI choisit de Vous facturer, Vous acceptez de payer à TI le montant facturé dans les trente (30) jours suivant la réception de cette facture.
Vous n'êtes pas autorisé à procéder à l'assemblage inverse ou à la compilation inverse, ni à tenter de dériver le code source du programme sous licence. Vous ne pouvez pas modifier, publier, divulguer, afficher, fournir, transférer, vendre, louer ou rendre disponible autrement le Programme sous licence ou toute partie de celui-ci. Vous n'êtes pas autorisé à transférer, redistribuer ou concéder en sous-licence les programmes sous licence, sauf autorisation expresse dans le présent Contrat, et si Vous vendez votre périphérique matériel à un tiers, Vous devez supprimer le programme sous licence du périphérique matériel avant de le faire. Le CONCÉDANT de licence se réserve tous les droits sur le Programme sous licence qui ne Vous sont pas expressément accordés en vertu du présent Contrat.

Le Programme sous licence est soumis aux droits d'auteur et autres protections de propriété intellectuelle applicables. Vous ne devez pas supprimer, modifier, couvrir ou masquer toute confidentialité, secret commercial, marque commerciale, brevet, copyright ou autre avis de propriété ou autres marques ou dessins d'identification de quelque composant que ce soit du Programme sous licence.
TI ne garantit pas que les programmes sous licence seront exempts d'erreurs ou répondront à vos exigences spécifiques. LES PROGRAMMES SOUS LICENCE SONT FOURNIS "EN L'ÉTAT" ET AVEC LEURS DÉFAUTS. TI ET SES CONCÉDANTS DE LICENCE NE FONT AUCUNE GARANTIE OU DÉCLARATION, EXPRESSE, IMPLICITE OU STATUTAIRE, CONCERNANT LES PROGRAMMES SOUS LICENCE, Y COMPRIS, MAIS SANS S'Y LIMITER, LES GARANTIES IMPLICITES DE QUALITÉ MARCHANDE OU D'ADÉQUATION À UN USAGE PARTICULIER, DE SÉCURITÉ OU DE NON-VIOLATION DE BREVETS, DROITS D'AUTEUR, SECRETS COMMERCIAUX OU AUTRES DROITS DE PROPRIÉTÉ INTELLECTUELLE DE TIERS. AUCUNE INFORMATION OU CONSEIL ORAL OU ÉCRIT FOURNI PAR TI NE CRÉERA DE GARANTIE.
EN AUCUN CAS, TI OU SES CONCÉDANTS DE LICENCE NE POURRONT ÊTRE TENUS RESPONSABLES DES DOMMAGES INDIRECTS, ACCIDENTELS, PUNITIFS OU CONSÉCUTIFS, DES PERTES DE PROFITS, DE LA PERTE D’UTILISATION OU DE DONNÉES, OU DE L’INTERRUPTION DES ACTIVITÉS, QUE LES DOMMAGES ALLÉGUÉS SOIENT ÉTIQUETÉS EN RESPONSABILITÉ DÉLICTUELLE, CONTRACTUELLE OU INDEMNITAIRE.
EN AUCUN CAS LA RESPONSABILITÉ GLOBALE DE TI OU DE SES CONCÉDANTS DE LICENCE EN VERTU DU PRÉSENT CONTRAT OU DÉCOULANT DE VOTRE UTILISATION DES PROGRAMMES SOUS LICENCE, OU TOUTE VIOLATION DE DONNÉES IMPLIQUANT DES DONNÉES SUR LES ÉLÈVES RECUEILLIES PAR TI, DÉPASSE (I) LE MONTANT LE PLUS ÉLEVÉ QUE VOUS AVEZ PAYÉ POUR LES PROGRAMMES SOUS LICENCE OU (II) CINQUANTE DOLLARS AMÉRICAINS (50 DOLLARS AMÉRICAINS).
Certaines juridictions n'autorisent pas l'exclusion ou la limitation des dommages accidentels ou indirects ou la limitation de la durée d'une garantie implicite, de sorte que la limitation ci-dessus peut ne pas s'appliquer à Vous.
