TOEPASSING: Deze Proeflicentie of Enkelvoudige licentie geldt voor in Nederland aangeschafte TI-Innovator™ Hub Software bijwerken voor Windows® en Mac®.
BELANGRIJK – Lees deze overeenkomst ('Overeenkomst') zorgvuldig door voor u de softwareprogramma('s) in dit pakket installeert. Door de softwareprogramma('s) in dit pakket te installeren stemt u in met de voorwaarden van deze Overeenkomst.
De softwareprogramma('s) in dit pakket ('Software') en alle daaraan gerelateerde documentatie (gezamenlijk te noemen: het 'Programma') worden door Texas Instruments Incorporated (TI) en/of toepasselijke derde licentiegevers (gezamenlijk te noemen: 'Licentiegever') in licentie gegeven zoals hieronder aangegeven. Details van de verleende licentie worden hieronder gegeven.
(1.1) U stemt ermee in de Software niet omgekeerd te assembleren of compileren noch andere technieken te gebruiken om de broncode te achterhalen, tenzij dit onvermijdelijk is om de informatie te verkrijgen die nodig is om de interoperabiliteit te realiseren van een onafhankelijk geproduceerd computerprogramma, en met dien verstande dat: (1) deze handelingen door u of namens u uitgevoerd worden, (2) de informatie die nodig is om interoperabiliteit te realiseren niet eerder door TI op uw verzoek binnen een redelijke termijn aan u ter beschikking is gesteld, en (3) deze handelingen beperkt blijven tot die delen van de Software die nodig zijn om interoperabiliteit te realiseren. U mag de aldus verkregen informatie slechts gebruiken om interoperabiliteit te realiseren. TI is gerechtigd deze Overeenkomst op goede gronden met onmiddellijke ingang te beëindigen indien u de bovenstaande bepalingen schendt of handelingen verricht die een schending van de bovenstaande bepalingen zouden inhouden.
(1.2) U mag het Programma, kopieën of gedeelten ervan verhuren, leasen noch anderszins tijdelijk aan derden overdragen. U mag het Programma slechts verkopen indien uw koper schriftelijk bevestigt dat de licentievoorwaarden zoals hierin uiteengezet voor hem bindend zijn en mits u geen exemplaren van het Programma in bezit houdt.
(2) Beperkte vorderingen in geval van defecten
(2.1) Indien het Programma tijdens de in paragraaf (2.5) hieronder vermelde verjaringstermijn een gebrek vertoont dat reeds bestond op het moment van aankoop, zal TI naar eigen keuze en voor eigen rekening ofwel het defect repareren of het product vervangen ('Nadere Nakoming') of het Programma terugnemen en u de aankoopprijs vergoeden. Nadere Nakoming geschiedt onverplicht. Als u een vordering instelt op grond van gebreken, moet u een aankoopbewijs overleggen.
(2.2) Het Programma vertoont een gebrek indien het niet voldoet aan de functiespecificatie zoals uiteengezet in de toepasselijke handleiding.
(2.3) TI is niet aansprakelijk voor gebreken die zijn veroorzaakt door verwaarlozing, onjuist gebruik of onjuiste behandeling, met inbegrip van verkeerd(e) installatie, bediening, gebruik, onderhoud of testen, gebruik in andere toepassingsgebieden en omstandigheden dan welke uitdrukkelijk door TI zijn aangegeven, en gebruik in combinatie met andere voor dergelijk gebruik niet door TI goedgekeurd producten, of indien het Programma op enigerlei wijze veranderd of aangepast is.
(2.4) Indien Nadere Nakoming niet succesvol is, bent u gerechtigd, onverminderd uw vorderingen tot schadevergoeding (die onderworpen zijn aan het Artikel Aansprakelijkheidsbeperking hieronder), deze Overeenkomst te ontbinden of een korting te verlangen.
(2.5) De verjaringstermijn voor vorderingen op basis van gebreken is twee (2) jaar. Voor herstelde Programma's loopt de rest van de oorspronkelijke verjaringstermijn door vanaf de datum dat het herstelde product aan u is geretourneerd. Voor vervangen Programma's geldt een nieuwe verjaringstermijn die ingaat op de datum waarop het vervangen Programma aan u geretourneerd wordt.
(2.6) Indien de analyse van een beweerdelijk gebrek uitwijst dat er geen gebrek bestaat, heeft TI het recht u kosten in rekening te brengen voor de analyse tegen de alsdan bij TI toepasselijke tarieven. In een dergelijk geval geschiedt vervoer van het Programma voor uw rekening en risico.
(3) Schadeloosstelling intellectueel eigendom, Gebrek aan eigendomsbewijs
(3.1) Behoudens Artikel (3.2) en (3.3) en het hieronder vermelde Artikel Aansprakelijkheidsbeperking en gedurende de verjaringstermijn voor garantievorderingen (Artikel (2.5) van het artikel Beperkte vorderingen in geval van gebreken hiervoor), vrijwaart TI u tegen alle schade, aansprakelijkheid en kosten waartoe u in laatste instantie veroordeeld wordt, of welke door TI overeengekomen wordt of worden als schikking of compromis, voorzover de grond van de vordering is dat het Programma een rechtstreekse inbreuk zou vormen op een octrooirecht, auteursrecht of ander intellectueel eigendomsrecht in de Verenigde Staten, Canada, Japan of lidstaat van de Europese Unie, met dien verstande dat (i) TI onverwijld in kennis wordt gesteld van en, indien van toepassing, een kopie van de betreffende vordering wordt verstrekt; (ii) TI alle bewijsstukken ontvangt die u in uw bezit hebt; (iii) TI redelijke medewerking wordt gegeven alsmede de exclusieve controle krijgt over de verdediging in de betreffende zaak, waartoe TI gerechtigd doch niet verplicht is, alsmede over alle onderhandelingen met betrekking tot een schikking of compromis daarin; en (iv) u tegenover derden geen inbreuk op enig intellectueel eigendomsrecht erkent. Indien u het gebruik van het Programma staakt ter beperking van schade of om andere zwaarwegende redenen, bent u verplicht aan de eisende derde mede te delen dat het staken van het gebruik geen erkenning inhoudt van inbreuk op de intellectuele eigendomsrechten van die derde.
(3.2) In geval van een vordering waartegen TI verplicht is u schadeloos te stellen op grond van Artikel (3.1) hiervoor, zal TI naar eigen keuze: (i) een licentie verkrijgen waarmee u het Programma kunt blijven gebruiken, (ii) het Programma vervangen of wijzigen zodat het niet langer een inbreuk vormt, echter zodanig dat geen afbreuk wordt gedaan aan de functionaliteit van het Programma, of (iii), indien (i) noch (ii) voor TI mogelijk is tegen commercieel aanvaardbare kosten, de aankoopprijs en transportkosten van het Programma aan u restitueren. Indien TI de mogelijkheid in voornoemd Artikel (iii) verkiest, moet u alle producten aan TI terugleveren die u in eigendom of bewaring hebt of onder zich houdt. Het voorgaande omvat TI's exclusieve aansprakelijkheid, behoudens alle beperkte schadeclaims overeenkomstig het Artikel Aansprakelijkheidsbeperking hieronder.
(3.3) TI is niet aansprakelijk voor kosten, verliezen of schade als gevolg van opzet van u, noch voor schikkingen of compromissen die door u zonder de voorafgaande schriftelijke toestemming van TI zijn aangegaan. TI is niet verplicht verdediging te voeren en is niet aansprakelijk voor kosten, verliezen of schade, voorzover een inbreukvordering gebaseerd is op: (i) uw gebruik van het Programma in combinatie met enig ander product, software of apparatuur; (ii) uw gebruik van het Programma op een andere wijze of voor een andere toepassing dan waarvoor het ontworpen of bedoeld is, ongeacht of TI op de hoogte was of in kennis gesteld was van dergelijk gebruik (tenzij TI dergelijk gebruik schriftelijk goedgekeurd heeft); of (iii) uw aanpassingen aan het Programma (de handelingen die in (i) tot (iii) uiteengezet zijn geven TI het recht op vorderingen tegen u, hierin afzonderlijk en gezamenlijk te noemen 'Overige Vorderingen').
(3.4) U vrijwaart TI tegen alle schade, aansprakelijkheid of kosten waartoe TI in laatste instantie wordt veroordeeld of welke door u als schikking of compromis overeengekomen wordt of worden, en voert de verdediging tegen elke vordering die tegen TI ingesteld wordt, voorzover deze gegrond is op Overige Vorderingen.
(3.5) Dit Artikel omvast de volledige aansprakelijkheid wegens inbreuk op intellectuele eigendomsrechten die voor TI en voor u geldt.
(4) Aansprakelijkheidsbeperking
(4.1) De Licentiegever is onbeperkt aansprakelijk voor schade als gevolg van opzet en grove nalatigheid.
(4.2) In alle andere gevallen is Licentiegever slechts aansprakelijk voor directe schade, zijnde directe kosten, en haar maximale aansprakelijkheid wordt beperkt tot de aankoopprijs van het Programma. In geen geval is TI aansprakelijk voor gevolgschade, met inbegrip van winstderving, productieverliezen of gemiste besparingen.
(4.3) In geval van Artikel (4.2) hiervoor is de aansprakelijkheid beperkt tot de schade die kenmerkend is voor dergelijke overeenkomsten en die had kunnen worden voorzien.
(4.4) In geval van Artikel (4.3) hiervoor is de verjaringstermijn voor uw schadevorderingen 2 jaar vanaf het moment waarop de vordering ontstond en u daarvan kennis kreeg. Ongeacht of u op de hoogte was, is de verjaringstermijn beperkt tot 3 jaar vanaf de schadedatum. De verjaringstermijn voor schadevorderingen als gevolg van gebreken is zoals uiteengezet in het Artikel Beperkte vorderingen in geval van gebreken hiervoor.
(4.5) Met uitzondering van aansprakelijkheid onder productaansprakelijkheidswetgeving, wegens op bedrieglijke wijze verborgen gebreken en wegens dood of letsel, zijn de bovenstaande aansprakelijkheidsbeperkingen van toepassing op alle schadevorderingen, ongeacht hun wettelijke basis.
(4.6) De bovenstaande aansprakelijkheidsbeperkingen zijn ook van toepassing indien u een vordering instelt tegen werknemers of vertegenwoordigers van de Licentiegever.
ALGEMEEN
(1) TI kan deze Overeenkomst op goede gronden met onmiddellijke ingang beëindigen indien u niet aan deze voorwaarden voldoet. Bij beëindiging van deze Overeenkomst verbindt u zich ertoe de oorspronkelijke verpakking en alle gehele of gedeeltelijke exemplaren van het Programma die in uw bezit zijn te retourneren of te vernietigen, en dat schriftelijk aan TI te bevestigen.
(2) Het exporteren en doorvoeren van het Programma is onderworpen aan de exportcontrolewetgeving van het land waarin u de licentie voor het Programma gekocht heeft, en aan de Export Administration Act 1969 van de Verenigde Staten zoals van tijd tot tijd gewijzigd. Naleving van dergelijke regelgeving is uw verantwoordelijkheid. U verbindt zich ertoe dat u niet de opzet hebt om, en dat u het Programma of technische gegevens evenmin, direct of indirect, naar enig land te/zult exporteren, doorvoeren of verzenden waar dergelijke export, doorvoer of verzending beperkt wordt door toepasselijke regelgeving of wetgeving van het land waarin u het Programma gekocht heeft of van de Verenigde Staten, zonder de juiste schriftelijke toestemming of licentie, indien vereist door het bevoegd gezag van het land waarin u een licentie voor het Programma heeft gekocht en/of het Bureau of Industry and Security van het Department of Commerce van de Verenigde Staten.
(3) Deze Overeenkomst wordt beheerst door en geïnterpreteerd volgens Nederlands recht. Het Verdrag van de Verenigde Naties betreffende de Internationale Koop van Roerende Zaken is niet van toepassing.
(4) Indien een bepaling van deze Overeenkomst of enig onderdeel van een bepaling daarvan ongeldig is of wordt, blijven de overige bepalingen alsmede de overige onderdelen van de betreffende bepaling van kracht.
(5) Deze Overeenkomst omvat de volledige overeenkomst en afspraken tussen TI en u. Elke toevoeging of aanpassing dient schriftelijk te worden vastgelegd en door een bevoegd vertegenwoordiger van TI te worden ondertekend. Dit geldt ook indien ermee wordt ingestemd dat het vereiste van schriftelijke vastlegging niet geldt.

Limited License Agreement.
This Limited License Agreement (“Agreement”) is a legal agreement between you (either an
individual or entity) and Texas Instruments Incorporated (“TI”). The “Software” consists of the
following materials: (a) the materials identified as TI proprietary software programs in the
software manifest for the software subject to the terms herein, and any “on-line” or electronic
documentation associated with these programs, or any portion thereof (the “Licensed
