TOEPASSING: Deze licentie geldt voor de bovengenoemde softwareproducten Windows® en Mac® is verkregen in een land waarvoor geen specifieke licentievoorwaarden zijn gegeven.
BELANGRIJK - Lees deze overeenkomst ("Overeenkomst") zorgvuldig voordat u het/de softwareprogramma('s) die op de diskette(s)/cd('s) staat/staan installeert. Door installatie of anderszins gebruik van het/de softwareprogramma('s) op de diskette(s)/cd('s) gaat u ermee akkoord gebonden te zijn aan de voorwaarden van de licentie. Als u niet akkoord gaat met de voorwaarden van deze licentie, retourneert u dit pakket met de volledige inhoud naar de plaats van aankoop; het volledige aankoopbedrag wordt dan vergoed.
Het/de softwareprogramma('s) op de diskette(s)/cd('s) en eventuele bijbehorende documentatie (samen het Programma genoemd) worden onder licentie verstrekt, en niet verkocht, door Texas Instruments Incorporated (“TI”) en/of andere gerechtigde licentieverstrekkers (samen “Licentieverstrekker”) genoemd. Specifieke details van de verleende licentie worden hieronder uiteengezet.
Definities:
Geautoriseerde Computer -
|
Computers die aan de Site zijn toegewezen en die eigendom zijn van of geleasd zijn door een onderwijsinstelling en/of computers die eigendom zijn van studenten voor gebruik door studenten terwijl ze op de Site zijn ingeschreven. Elk van dit soort computers is een Geautoriseerde Computer.

|
Het/de softwareprogramma('s) in deze installatie en alle gerelateerde documentatie.
|
Site -
|
In het kader van deze Overeenkomst wordt onder een locatie ("Locatie") één vestiging van een door het Amerikaanse Ministerie van Onderwijs, een Amerikaanse State Board of Education, of het equivalent hiervan in andere landen erkende onderwijsinstelling verstaan.

Abonnementsperiode -
|
De periode welke in het software activeringssleuteldocument is gespecificeerd zoals deze is opgenomen in de verpakking of welke naar u verstuurd is door TI.
|
Virtueel gebruik -
|
Gelijktijdig gebruik van het Programma door twee of meer gebruikers .
|
PROEFLICENTIE.
U krijgt de volgende beperkte rechten als u het programma hebt verkregen als een proefversie van internet via de website education.ti.com of op een demonstratie-cd die door TI wordt gedistribueerd. Voor een proefperiode, vanaf de datum dat u het Programma installeert en het daaropvolgend aantal dagen dat u toegang hebt tot het door TI verzorgde Programma, verleent de Licentieverstrekker u een persoonlijke, niet-exclusieve, niet-overdraagbare licentie voor installatie en gebruik van het Programma op een enkele Geautoriseerde Computer. Voor backup- of archiveringsdoeleinden mag u één kopie van de software maken. Virtueel gebruik is ten strengste verboden. U bent niet toegestaan om enige verwante softwaredocumentatie die geleverd is met de demonstratie-CD te verveelvoudigen. Aan het einde van de proefperiode gaat u akkoord met het staken van het gebruik van het Programma, tenzij u een licentie hebt aangeschaft om het Programma te gebruiken.
U gaat ermee akkoord dat u geen reverse engineering zal toepassen op de software van het Programma. U bent niet toegestaan het Programma, of een kopie ervan, in zijn geheel of gedeeltelijk, te verkopen, verhuren, leasen of anderszins over te dragen.
Tijdens de proefperiode bent u ook bevoegd om met het Programma elke TI rekenmachine-applicatie (“App”) te gebruiken, waarvoor u een geldige licentie hebt verkregen. U mag een dergelijke applicatie van uw rekenmachine naar de computer waarop het Programma is geïnstalleerd, kopiëren.
De volgende licentievoorwaarden zijn van toepassing, afhankelijk van het aangeschafte type licentie:
LICENTIE VOOR ENKELE GEBRUIKER/ LANGE TERMIJN
Na de ontvangst van een software activeringssleutel voor dit Programma van TI, verleent de Licentieverstrekker u een persoonlijke, niet-exclusieve, niet-overdraagbare licentie voor installatie en gebruik van het Programma op een enkele computer. ABONNEMENTSLICENTIE VOOR ENKELE GEBRUIKER
Na de ontvangst van een software activeringssleutel voor dit Programma van TI, verleent de Licentieverstrekker u een persoonlijke, niet-exclusieve, niet-overdraagbare licentie voor installatie en gebruik van het Programma op een enkele computer tijdens de abonnementsperiode. Virtueel gebruik is ten strengste verboden. Voor backup- en archiveringsdoeleinden mag u één kopie van de software maken. Tenzij een verlenging van het abonnement is aangevraagd, dient aan het einde van de Abonnementsperiode het Programma verwijderd te worden van de computer(s) waarop het werd geïnstalleerd. In een dergelijk geval, garandeert u dat een dergelijke verwijdering zal worden uitgevoerd en deze dusdanig schriftelijk vastgesteld wordt aan de Licentieverstrekker. U gaat ermee akkoord alle copyright- en eigendomsmeldingen in de software en de media te reproduceren. Tenzij uitdrukkelijk anders wordt aangegeven in de documentatie mag u de documentatie niet dupliceren.
MEERVOUDIGE GEBRUIKERS/ LANGE TERMIJN
Voor de Licentie voor Meervoudige Gebruikers/ Lange Termijn, verleent de Licentieverstrekker u een langdurige, niet-exclusieve, niet-overdraagbare licentie voor installatie op het aantal Geautoriseerde Computers die bevoegd zijn op grond van de aangeschafte licentie. De Licentie voor Meervoudige Gebruikers/Lange Termijn verleent elke student of faculteitsmedewerker van de onderwijsinstelling het recht om het Programma te gebruiken door middel van een Geautoriseerde Computer waarop het Programma is geïnstalleerd in overeenstemming met deze Overeenkomst.
U garandeert dat u alle redelijke inspanningen heeft gedaan om het programma te verwijderen van computers in het bezit van studenten voorafgaand aan het afstuderen van de student of het uitschrijven van de onderwijsinstelling door de student, welke ook als eerste plaatsvindt, en dat u deze student van de beëindiging van hun recht op het gebruik van het Programma zoals geïnstalleerd volgens deze Overeenkomst, op de hoogte brengt. Voor backup- en archiveringsdoeleinden mag u één kopie van de software maken. U gaat ermee akkoord alle copyright- en eigendomsmeldingen in de software en de media te reproduceren. Tenzij uitdrukkelijk anders wordt aangegeven in de documentatie mag u de documentatie niet dupliceren. Elke Geautoriseerde Computer waarop het Programma is geïnstalleerd moet worden toegewezen aan een Site. Sommige regio’s kunnen eisen dat het Programma die gelicenseerd staat onder de Licentie voor Meervoudige Gebruikers/Lange Termijn jaarlijks opnieuw wordt geactiveerd. Het opnieuw activeren gebeurt voordat de licentie verstrijkt. Neem contact op met TI via education.ti.com/support om uw programma opnieuw te laten activeren.
MEERVOUDIGE GEBRUIKERS/ABONNEMENTSPERIODE
Voor de Licentie Meervoudige Gebruikers/Abonnement verleent de Licentieverstrekker u een niet-exclusieve, niet-overdraagbare licentie om het programma te installeren op het aantal Geautoriseerde Computers die op grond van de aangekochte licentie zijn bevoegd. De Licentie Meervoudige Gebruikers/Lidmaatschap verleent elke student of faculteitsmedewerker van de onderwijsinstelling het recht om het Programma te gebruiken door middel van een Geautoriseerde Computer waarop het Programma is geïnstalleerd in overeenstemming met deze Overeenkomst.
U garandeert dat u alle redelijke inspanningen heeft gedaan om het programma te verwijderen van computers in het bezit van studenten voorafgaand aan het afstuderen van de student of het uitschrijven van de onderwijsinstelling door de student, welke ook als eerste plaatsvindt, en dat u deze student van de beëindiging van hun recht op het gebruik van het Programma zoals geïnstalleerd volgens deze Overeenkomst, op de hoogte brengt. Voor backup- en archiveringsdoeleinden mag u één kopie van de software maken U gaat ermee akkoord alle copyright- en eigendomsmeldingen in de software en de media te reproduceren Tenzij uitdrukkelijk anders wordt aangegeven in de documentatie mag u de documentatie niet dupliceren. In gevallen waarbij TI de bijbehorende documentatie in elektronische vorm verstrekt, mag u een exemplaar van de documentatie afdrukken voor elke Geautoriseerde computer.. Elke Geautoriseerde Computer waarop het Programma is geïnstalleerd moet worden toegewezen aan een Site. Aan het einde van de Abonnementsperiode zal het Programma automatisch worden uitgeschakeld.
GELIJKTIJDIGE LICENTIE/ LANGE TERMIJN
De Licentieverstrekker verleent u een langdurige, niet-exclusieve, niet-overdraagbare licentie voor het installeren van het Programma op alle Geautoriseerde Computers. De Gelijktijdige/ Lange Termijn Licentie verleent elke student of faculteitsmedewerker van de onderwijsinstelling het recht om het Programma te gebruiken door middel van een Geautoriseerde Computer waarop het Programma is geïnstalleerd in overeenstemming met deze Overeenkomst, met het maximale aantal gelijktijdige gebruikers beperkt tot het aantal gelijktijdige gebruikers vermeld in de aangeschafte licentie. .
U garandeert dat u toepasselijke, controleerbare maatregelen om het maximale aantal gelijktijdige gebruikers te beperken tot het aantal toegestaan door de licentie die u hebt aangeschaft van TI, zult nemen en handhaven. U garandeert dat u alle redelijke inspanningen heeft gedaan om het programma te verwijderen van computers in het bezit van studenten voorafgaand aan het afstuderen van de student of het uitschrijven van de onderwijsinstelling door de student, welke ook het eerste plaatsvindt, en dat u deze student van de beëindiging van hun recht op het gebruik van het Programma zoals geïnstalleerd volgens deze Overeenkomst, op de hoogte brengt. Voor backup- en archiveringsdoeleinden mag u één kopie van de software maken. U gaat ermee akkoord alle copyright- en eigendomsmeldingen in de software en de media te reproduceren. Tenzij uitdrukkelijk anders wordt aangegeven in de documentatie mag u de documentatie niet dupliceren. In gevallen waarbij TI de bijbehorende documentatie in elektronische vorm verstrekt, mag u een exemplaar van de documentatie afdrukken voor elke Geautoriseerde Computer. Elke Geautoriseerde Computer waarop het Programma is geïnstalleerd moet worden toegewezen aan een Site.
GELIJKTIJDIGE LICENTIE/ ABONNEMENTSPERIODE
De Licentieverstrekker verleent u een niet-exclusieve, niet-overdraagbare licentie voor het installeren van het Programma op alle Geautoriseerde Computers. De Gelijktijdige/Abonnementsperiode Licentie verleent elke student of faculteitsmedewerker van de onderwijsinstelling het recht om het Programma te gebruiken door middel van een Geautoriseerde Computer waarop het Programma is geïnstalleerd in overeenstemming met deze Overeenkomst, met het maximale aantal gelijktijdige gebruikers beperkt tot het aantal gelijktijdige gebruikers vermeld in de aangeschafte licentie.
U garandeert dat u toepasselijke, controleerbare maatregelen om het maximale aantal gelijktijdige gebruikers te beperken tot het aantal toegestaan door de licentie die u hebt aangeschaft van TI, zult nemen en handhaven. Tenzij uitdrukkelijk anders wordt aangegeven in de documentatie mag u de documentatie niet dupliceren In gevallen waarbij TI de bijbehorende documentatie in elektronische vorm verstrekt, mag u een exemplaar van de documentatie afdrukken voor elke Geautoriseerde Computer. Elke Geautoriseerde Computer waarop het Programma is geïnstalleerd moet worden toegewezen aan een Site. Aan het einde van de Abonnementsperiode zal het Programma automatisch worden uitgeschakeld.
Aanvullende Voorwaarden Van Toepassing op Alle Licenties:
U gaat ermee akkoord dat u geen reverse engineering zult toepassen op de software van het Programma. Deze licentie wordt automatisch beëindigd in het geval u reverse engineering probeert toe te passen op de software van het Programma of de software beschermingsmechanisme van het Programma probeert te saboteren. U bent niet toegestaan het Programma, of een kopie ervan, in zijn geheel of gedeeltelijk, te verkopen, verhuren, leasen of anderszins over te dragen.
In gevallen waarbij TI de bijbehorende documentatie in elektronische vorm verstrekt, mag u een exemplaar van de documentatie afdrukken voor elke Geautoriseerde Computer.
TI behoudt zich het recht voor om uw installatie van het programma te controleren om de naleving van de aan u verleende licentie te kunnen verzekeren, en door het aanvaarden van deze licentie stemt u ermee in dat TI een dergelijke controle uitvoert. In het geval dat een dergelijke controle op het niet-naleven van de aan u verleende licentie wijst, kan TI, naar eigen goeddunken, (a) uw licentie per direct laten beëindigen of (b) u het bedrag factureren dat u anders verschuldigd zou zijn aan TI wanneer u de juiste licentie had aangeschaft. Als TI ervoor kiest u te factureren, gaat u ermee akkoord om TI het gefactureerde bedrag binnen dertig (30) dagen na ontvangst van deze factuur te betalen.
Als u voldoet aan de voorwaarden van de licentie bent u ook gemachtigd om elke rekenmachine-applicatie (App), waarover u een geldige licentie beschikt, met het Programma te gebruiken. U mag een dergelijke App van uw rekenmachine naar de computer waarop het Programma is geïnstalleerd, kopiëren.
BEPERKTE GARANTIE EN UITSLUITINGEN EN BEPERKINGEN VAN SCHADE
Garantie: De Licentieverstrekker garandeert niet dat het Programma vrij van fouten zal zijn of aan uw specifieke eisen zal beantwoorden. Geen enkele informatie met betrekking tot de bruikbaarheid van het Programma dient te worden geïnterpreteerd als een expliciete of impliciete garantie.
TI BIEDT MET BETREKKING TOT DE GELICENTIEERDE MATERIALEN GEEN ENKELE GARANTIE OF CONDITIE, EXPLICIET NOCH IMPLICIET, INCLUSIEF MAAR NIET BEPERKT TOT IMPLICIETE GARANTIES VAN VERKOOPBAARHEID, GESCHIKTHEID VOOR EEN BEPAALD DOEL OF NIET-INBREUK MET BETREKKING TOT HET PROGRAMMA EN STELT HET PROGRAMMA BESCHIKBAAR OP "AS IS"-BASIS.
Hoewel er geen garantie op het Programma wordt gegeven, worden de media, als u het Programma op een diskette of cd hebt ontvangen, vervangen als deze tijdens de eerste negentig (90) dagen van het gebruik defect blijken te zijn en u het pakket voorgefrankeerd aan TI retourneert. IN DEZE ALINEA IS DE MAXIMALE AANSPRAKELIJKHEID VAN DE LICENTIEVERSTREKKER BESCHREVEN. DIT IS TEVENS DE ENIGE EN EXCLUSIEVE REMEDIE VOOR DEFECTE MEDIA.
U dient u bewijs van aankoop aan te tonen.
DE LICENTIEVERSTREKKER IS NIET VERANTWOORDELIJK VOOR EVENTUELE SCHADE VEROORZAAKT DOOR HET GEBRUIK VAN HET PROGRAMMA OF SCHADE DIE U OF DERDEN ONDERVINDEN, INCLUSIEF, MAAR NIET BEPERKT TOT BIJZONDERE SCHADE, INDIRECTE SCHADE, INCIDENTELE SCHADE OF VERVOLGSCHADE, ZELFS NIET ALS DE LICENTIEVERSTREKKER OP DE HOOGTE IS GEBRACHT VAN DE MOGELIJKHEID VAN DERGELIJKE SCHADE
AANGEZIEN SOMMIGE STATEN IN DE VS EN SOMMIGE LANDEN DE UITSLUITING OF BEPERKING VAN INCIDENTELE SCHADE OF VERVOLGSCHADE OF BEPERKINGEN OP DE DUUR VAN IMPLICIETE GARANTIE NIET TOESTAAN, IS HET MOGELIJK DAT DE BOVENSTAANDE BEPERKINGEN OF UITSLUITINGEN NIET OP U VAN TOEPASSING ZIJN.
DE TOTALE AANSPRAKELIJKHEID VAN DE LICENTIEVERSTREKKER IS ONDER DEZE LICENTIE BEPERKT TOT 500 (VIJFHONDERD) US$.
DE BOVENSTAANDE BEPERKINGEN VAN AANSPRAKELIJKHEID VOOR SCHADE IS NIET VAN TOEPASSING IN GEVALVAN HET ONTSTAAN VAN LICHAMELIJK LETSEL TE WIJTEN AAN DE LICENTIEVERSTREKKER, IN GEVAL VAN SCHADE ALS GEVOLG VAN GROVE NALATIGHEID OF OPZET OF ALS LICENTIEVERSTREKKER AANSPRAKELIJK IS OP GROND VAN WETTEN MET BETREKKING TOT PRODUCTAANSPRAKELIJKHEID.
ALGEMEEN
(1) TI kan deze Overeenkomst op goede gronden met onmiddellijke ingang beëindigen indien u niet aan deze voorwaarden voldoet. Bij beëindiging van deze Overeenkomst verbindt u zich ertoe de oorspronkelijke verpakking en alle gehele of gedeeltelijke exemplaren van het Programma die in uw bezit zijn te retourneren of te vernietigen, en dat schriftelijk aan TI te bevestigen.
(2) Het exporteren en doorvoeren van het Programma is onderworpen aan de exportcontrolewetgeving van het land waarin u de licentie voor het Programma gekocht heeft, en aan de Export Administration Act 1969 van de Verenigde Staten zoals van tijd tot tijd gewijzigd. Naleving van dergelijke regelgeving is uw verantwoordelijkheid. U verbindt zich ertoe dat u niet de opzet hebt om, en dat u het Programma of technische gegevens evenmin, direct of indirect, naar enig land te/zult exporteren, doorvoeren of verzenden waar dergelijke export, doorvoer of verzending beperkt wordt door toepasselijke regelgeving of wetgeving van het land waarin u het Programma gekocht heeft of van de Verenigde Staten, zonder de juiste schriftelijke toestemming of licentie, indien vereist door het bevoegd gezag van het land waarin u een licentie voor het Programma heeft gekocht en/of het Bureau of Industry and Security van het Department of Commerce van de Verenigde Staten.
(3) Deze Overeenkomst wordt beheerst door en geïnterpreteerd volgens Nederlands recht. Het Verdrag van de Verenigde Naties betreffende de Internationale Koop van Roerende Zaken is niet van toepassing.
(4) Indien een bepaling van deze Overeenkomst of enig onderdeel van een bepaling daarvan ongeldig is of wordt, blijven de overige bepalingen alsmede de overige onderdelen van de betreffende bepaling van kracht.
(5) Deze Overeenkomst omvat de volledige overeenkomst en afspraken tussen TI en u. Elke toevoeging of aanpassing dient schriftelijk te worden vastgelegd en door een bevoegd vertegenwoordiger van TI te worden ondertekend. Dit geldt ook indien ermee wordt ingestemd dat het vereiste van schriftelijke vastlegging niet geldt.
