CAMPO DAPPLICAZIONE: questa licenza provvisoria rispettivamente questa licenza per utente singolo vale per TI-Innovator™ Hub consente di aggiornare il software per Windows® e Mac® acquisito in Italia. 

IMPORTANTE - Prima di installare i programmi software contenuti nella confezione leggere attentamente il presente contratto (il “Contratto”). Tramite l'installazione o l'uso dei programmi software contenuti nella presente confezione, l'utente accetta i termini del presente Contratto.

I programmi software contenuti nella confezione (il “Software”) e la relativa documentazione (congiuntamente definiti il "Programma") sono concessi in licenza all'utente da parte della Texas Instruments Incorporated ("TI") e/o ogni terzo licenziante indicato di seguito (congiuntamente definiti il "Licenziante"). I termini della presente licenza sono indicati qui di seguito.

 

(1.1) L'utente impegna a non disassemblare o decompilare il Software o a non fare uso di altre tecniche volte ad ottenere il codice sorgente, a meno che non sia indispensabile al fine di ottenere le informazioni necessarie per conseguire l'interoperabilità con programmi prodotti da terzi e purché: (1) tali attività siano svolte dall'utente o per suo conto, (2) le informazioni necessarie per conseguire l'interoperabilità non siano già state rese disponibili da TI, entro un termine ragionevole, su sua richiesta e (3) tali attività siano limitate alle parti del Software necessarie per conseguire l'interoperabilità. Le informazioni così ottenute potranno essere usate solo per conseguire l'interoperabilità. TI può risolvere il presente Contratto con effetto immediato ai sensi dell'articolo 1456 del Codice Civile in caso di violazione del presente paragrafo (1).

(1.2) L'utente non può concedere in licenza o trasferire a titolo temporaneo in altro modo il Programma o copie dello stesso, o sue parti. L'utente può vendere il Programma soltanto ad altri istituti educativi e purché tali istituti educativi accettino per iscritto le previsioni del presente Contratto e l'utente non conservi copie del Programma.

(2) Garanzia limitata in Caso di Difetti

(2.1) Se prima della scadenza del periodo di garanzia di cui al paragrafo (2.4), il Programma evidenzia un difetto già esistente al momento del trasferimento dei rischi sullo stesso, TI si impegna, a discrezione dell'utente ed a spese di TI, a riparare il Programma o a sostituirlo (la “Successiva Prestazione”), salvo che il rimedio richiesto sia impossibile o eccessivamente oneroso ai sensi dell'articolo 130, comma 4, del Decreto Legislativo 6 settembre 2005, n. 206. Se l'utente vuole avvalersi di tale garanzia, deve fornire prova dell'acquisto. 

(2.2) Il Programma è difettoso se non presenta le caratteristiche funzionali descritte nel manuale duso.

(2.3) TI non è responsabile per difetti dovuti ad incuria, uso o impiego inappropriati, ivi compresa l'erronea installazione, utilizzo, manutenzione o collaudo, l'uso per applicazioni ed in condizioni climatiche diverse da quelle indicate da TI e l'uso in combinazione con altri prodotti non approvati da TI per tali finalità oppure se il Programma è stato in qualsiasi modo modificato.

(2.4) Qualora la Successiva Prestazione sia impossibile o eccessivamente onerosa ai sensi dell'articolo 130, comma 4, del Decreto Legislativo 6 settembre 2005, n. 206, l'utente può, fatte salve le sue azioni per danni (che sono soggette alle previsioni della Clausola Limitazione di Responsabilità), risolvere il presente Contratto o richiedere una riduzione del prezzo,

(2.5) La presente garanzia per difetti è valida per 2 anni dalla consegna del Programma.

(2.6) Qualora l'esame del difetto contestato evidenzi che nessun difetto sussiste, TI può richiedere all'utente il pagamento del costo dell'esame che non ha evidenziato alcun difetto in conformità con le tariffe al momento applicate da TI. In questo caso, la spedizione del Programma sarà a spese e rischio dell'utente.

(2.7) Ogni ulteriore garanzia legale o contrattuale è espressamente esclusa.

(3) Diritti di Proprietà Intellettuale, Vizi di Titolarità

(3.1) In conformità con i paragrafi (3.2) e (3.3) e con la clausola "Limitazione di Responsabilità" e per la durata della garanzia (paragrafo (2.4) della clausola "Garanzia Limitata in Caso di Difetti")  TI risarcirà l'utente per i danni o spese cui lo stesso sia stato condannato in un eventuale giudizio o concordati da TI a seguito di un accordo o una transazione, purché tali pretese siano fondate sulla violazione da parte del Programma di brevetti, diritti d’autore o altri diritti di proprietà intellettuale degli Stati Uniti d'America, del Canada, del Giappone o di uno Stato membro dellUnione europea e: (i) TI sia prontamente informata di tale pretesa e, se possibile, ne riceva una copia, (ii) TI riceva tutte le prove in possesso dell'utente, (iii) TI riceva ragionevole assistenza nella difesa ed il controllo esclusivo della stessa, attività cui TI ha diritto, ma non è obbligata, e delle trattative finalizzate al raggiungimento di un accordo o di una transazione, e (iv) l'utente non riconosca una violazione di diritti di proprietà intellettuale nei confronti di terzi. Se per limitare i danni o per altri rilevanti motivi, l'utente intendesse sospende luso del Programma, sia obbligato ad informare i terzi che avanzano le sopra richiamate pretese che tale condotta non rappresenta un riconoscimento della violazione dei diritti di proprietà intellettuale di tali terzi.

(3.2) A seguito di una pretesa per la quale TI è obbligata a risarcire l'utente ai sensi del paragrafo (3.1), TI deciderà, a propria discrezione, se (i) ottenere una licenza che permetta all'utente di continuare ad utilizzare il Programma, o (ii) sostituire o modificare il Programma in modo che non sussista più la contestata violazione, senza però compromettere sensibilmente le funzionalità del Programma o, (iii) qualora le predette ipotesi (i) e (ii) non siano possibili per TI a condizioni commercialmente ragionevoli, risarcire il prezzo dacquisto del Programma e le relative spese di trasporto. Se TI adotta la soluzione di cui al punto (iii), l'utente deve riconsegnare a TI tutti i prodotti relativi al Programma che si trovano ancora in suo possesso, custodia o sotto il suo controllo. Quanto previsto dalla presente clausola rappresenta la responsabilità esclusiva di TI, fatte salve le eventuali azioni per danni di cui alla clausola "Limitazione di Responsabilità".

(3.3) TI non sarà responsabile per spese, perdite o danni da lei subiti e derivanti da condotte dolose, o transazioni o accordi conclusi senza il consenso scritto di TI. TI non è tenuta a difendere l'utente e non è responsabile per costi, spese o danni subiti dall'utente qualora la violazione contestata sia dovuta (i) all'uso del Programma insieme con qualsiasi altro prodotto, software o attrezzatura; (ii) all'uso del Programma secondo modalità o in applicazioni diverse da quelle cui erano designate o finalizzate, nonostante di tale utilizzo sia stata informata TI o tale uso sia stato in altro modo notificato all'utente (a meno che tale utilizzo sia stato approvato da TI in forma scritta); o (ii) a sue modifiche del Programma (le attività dal punto (i) fino al punto (ii) legittimano TI ad agire nei confronti dell'utente. Tali azioni sono congiuntamente definite le “Ulteriori Azioni”).

(3.4) L'utente dovrà risarcire e mantenere TI indenne da qualsiasi danno, responsabilità o costo al cui pagamento TI sia condannata in un eventuale giudizio contro la stessa o sia dall'utente concordato quale parte di una transazione o di un accordo e difenderà TI con riferimento a qualsiasi pretesa esercitata nei confronti della stessa qualora dovuta a contestazioni derivanti dalle Ulteriori Azioni.

(3.5) La presente clausola regola l'intera responsabilità dell'utente e di TI in caso di violazione dei diritti di proprietà intellettuale .

4. Limitazione della Responsabilità

(4.1) Il Licenziante sarà responsabile solo per danni derivanti da dolo o colpa grave.

(4.2) Salvo quanto previsto dalla legge, la sopra richiamata limitazione di responsabilità si applicherà con riferimento alle azioni per danni, indipendentemente dal loro fondamento giuridico.

(4.3) Le predette limitazioni della responsabilità opereranno anche in caso di azioni contro dipendenti o agenti del Licenziante.

CONDIZIONI GENERALI

(1) TI può risolvere Il presente Contratto con effetto immediato ai sensi dell'articolo 1456 del codice civile qualora l'utente violi la clausola "Licenza Provvisoria", la clausola "Licenza" o il paragrafo (2) delle presenti Condizioni Generali. A seguito della cessazione del presente Contratto, l'utente si impegna a restituire o distruggere la confezione originale e tutte le copie parziali o complete del Programma in suo possesso, informando TI di tale attività per iscritto.

(2) L'esportazione e la riesportazione del Programma sono regolate dalle norme sul controllo delle esportazioni del Paese in cui l'utente ha acquistato una licenza sul Programma e lUnited States Export Administration Act del 1969 e successive modifiche. L'utente è responsabile della conformità con tali previsioni. L'utente si impegna a non esportare, riesportare o trasferire, direttamente o indirettamente, il Programma o i relativi dati tecnici in un Paese rispetto al quale l'esportazione, la riesportazione o il trasferimento è vietato dalle norme del Paese in cui l'utente ha acquistato il Programma o degli Stati Uniti d'America senza il necessario consenso scritto o licenza, qualora richiesto dalle autorità competenti del Paese in cui l'utente ha acquistato una licenza per il Programma e/o il Bureau of Industry and Security del Department of Commerce degli Stati Uniti d'America.

(3) Il presente Contratto è regolato dalla la legge italiana. La Convenzione delle Nazioni Unite sulla Vendita Internazionale di Beni non trova applicazione.

(4) Qualora una previsione, o parte della stessa, del presente Contratto non fosse valida o divenisse invalida, le rimanenti prescrizioni, o parti delle stesse, rimarranno in vigore.

(5) Il presente Contratto rappresenta l'intero accordo tra l'utente e TI. Qualsiasi aggiunta  o modifica del presente Contratto deve avvenire in forma scritta e deve essere sottoscritta da un rappresentante autorizzato di TI. Tale previsione vale anche con riferimento ad uneventuale rinuncia al requisito della forma scritta.
